Job Description As Virtru continues to grow rapidly, we need an experienced Attorney who will help manage the actions of the organization regarding all legal matters related to operations and services, as well as overseeing work that's outsourced with independent firms. This position will work across all levels and departments of the organization to contribute to Virtrus mission. Responsibilities will include both doing and supporting work by outside counsel in the following areas: Corporate - Counsel and guide the business on Corporate law matters including: Corporate Governance matters, administrative filings, board meeting preparation, drafting board resolutions, supporting investor relations, due diligence efforts, and management of capitalization table utilizing Carta software.Commercial Transactions - Draft, negotiate, and structure inbound and outbound contracts, including: sales agreements, consulting agreements, technology licensing agreements, NDAs, and work on keeping our product T&Cs updated as new features and developments are released.Employment - Establish performance plans, hiring contracts, separation agreements, and partner with Human Resources on day-to-day employment matters. This includes improvements to applicable policies, templates, processes, procedures, and our variable compensation packages.Privacy & Security - Support security matters including reviewing vendor contracts and resolving incidents with our services and customers.Compliance & Regulatory - Provide guidance in regards to regulatory eligibility and compliance within the United States and Internationally. Other Legal Matters - Review government contracts, potential teaming & partnership agreements with private entities, support patent defenses and expansion, and work closely with various teams on legal components of upcoming product development. Qualifications: JD degree required along with good standing with the DC Bar (or eligible to waive into the DC Bar)3+ years of legal practice experience. Bonus points with a few years in-house at a growth stage startup in Tech (Saas) or Information Services!Ability to anticipate legal issues or risks. The ideal candidate has knowledge and experience in one or two of the above legal areas, and is willing to research and consult with outside counsel on all legal matters affecting the business.
