Primary Purpose
Located in the US offices, provides overall legal support to the Contracts and Legal Department, reporting to the Vice President & General Counsel, to support the international compliance and business/corporate legal activities of the Company, including data privacy and protection matters. Identifies and analyzes legal issues, drafts key documents, presents clear recommendations to senior management, and ensures legal compliance.

Primary Purpose
Located in the US offices, provides overall legal support to the Contracts and Legal Department, reporting to the Vice President & General Counsel, to support the international compliance and business/corporate legal activities of the Company, including data privacy and protection matters. Identifies and analyzes legal issues, drafts key documents, presents clear recommendations to senior management, and ensures legal compliance.
Responsibilities
- Keeps informed of relevant legal developments as they occur and analyzing their applicability to the Company's activities and objectives, including but not limited to global data privacy and protection, international corporate matters, etc.
- Reviews Company policies and practices on a regular basis to ensure compliance
- Reviews proposed action plans to ensure compliance
- Works with Training Department to develop and implement employee training
- Develops and implements mechanisms for detecting, reporting and correcting violations so as to ensure minimal impact and optimal correction
- Recommends corporate policies and strategies that promote the Company's goals while complying with regulations
- Implements changes in company policy
- Assists Leaders in Biopharma and Public Sector divisions for managing clinical trial services provided to clients
- Drafts, reviews, and negotiates a wide variety of agreements including confidentiality, services agreements, master agreements, consulting agreements, data privacy and material transfer agreements, licenses, and other intellectual-property-related matters with United States and global clients, partners, vendors and users ranging from global biotech companies to healthcare organizations, research and clinical sites, landlords, subcontractors, and government agencies
- Ensures compliance with applicable biopharma and clinical trial regulations, corporate governance requirements, and other relevant legal and statutory requirements
- Assists the General Counsel to provide leadership and technical guidance to ensure an effective global ethics and compliance program.
- Assists in overseeing the development of programs to prevent and detect violations of laws, company policies, and other misconduct; promote ethical practices; and ensure the implementation of the compliance program throughout the organization
- Enforces and defends company against third party claims and litigation
- Advises on legal aspects of the Company's financing activities and corporate structure considerations, including assessing and advising on current and future business structures and legal entities
- Proactively addresses rapidly evolving regulatory and governance compliance environment including changes in laws and regulations, regulatory focus areas, and industry best practices
- Provides oversight and leadership for all legal needs of the business, including but not limited to providing legal advice and guidance across business functions
- Partners with human resources on global employment law matters
- Works closely with multiple company departments, including Therapeutic Research Units, Business Development, Proposal Department, and Pricing Department, on matters affecting contractual documents and legal compliance
- Other duties as assigned by the Vice President & General Counsel
Experience
- Supervisor Responsibilities:
- Handles discipline and termination of employees as needed
- Completes annual performance reviews and other processes
- Required Skills/Abilities:
- Demonstrated proficiency in MS Office suite
- Attention to detail
- Demonstrated strong verbal and written communication skills
- Ability to multitask and strong time management skills
- Knowledge of basic financial principals
- Strong negotiation skills
- Excellent written and communication skills
- Required Education and Experience:
- JD/Law degree from accredited law school required
- Typically requires a minimum of 5 years of related experience in legal and contract administration in a CRO/Pharmaceutical/Biotechnology/Clinical Trials industry environment preferred
- GDPR, HIPAA, US state privacy law experience required, US Federal Government experience, a plus
- Business formation and corporate law experience in the US and globally, extremely desirable
- Understanding and experience working with contractual documentation in the United States and in global/international settings
- Knowledge of US and international Corporate, Contract and Data Privacy Law
