Technica Corporation is seeking to fill an Associate Counsel opportunity to support the Legal and Contracts team in Dulles, VA. The Associate Counsel is a key member of the Legal and Contracts team, providing: 1. Legal and administrative support for government contracts; 2. Guidance on the company's compliance requirements; and 3. Legal support for all functional areas of the company, including for employment law, operational policies, and corporate governance. + Takes full responsibility for successful resolution of contract negotiations and legal research projects. + Structure, draft, negotiate, and successfully close complex technology and services agreements, government agency contracts, and subcontracts. + Review and provide input to statements of work, task orders, proposals, and purchase orders. + Independently draft, negotiate, and provide advice to others for various other contractual documents such as reseller agreements, teaming agreements, services agreements, and license agreements. + Actively collaborate with Technica proposal, sales, operations, program management, and finance personnel. + Independently research legal issues and stay current on changes to the regulatory environment. Communicate significant changes to management and staff. + Support compliance efforts, including data privacy, cybersecurity, EAR, ITAR and FCPA compliance. + Answer questions and provide interpretation of contractual language and regulatory provisions to internal personnel. + Support Contracts Managers and other personnel in drafting model agreements. + Work with General Counsel on contracts dispute resolutions and negotiations. + 3+ years of legal support experience in a corporate environment, with at least 1 year in-house legal experience in a Federal Government or government contracting environment + 1+ years of experience at a law firm + Solid understanding of Federal Acquisition Regulations and procurement processes + Hands-on experience with drafting and negotiating contract documents, including both client-facing and vendor-facing services agreements + Demonstrated record of successful performance and increasing levels of responsibility + Excellent legal research, writing, and oral communication skills + Ability to work both independently and as part of a team + Creative mindset and willingness to take full ownership of projects + Dedication to quality and high performance standards + Experience with bid protests, CMMI, NIST, joint ventures, and /or corporate governance a plus. + Telework eligible up to two day per week. + Other duties as assigned Education and Certification Requirements: + Juris Doctorate degree from an accredited law school + A member in good standing of a state bar, preferably Virginia or Texas + Ability to obtain a security clearance + Current member in good standing of the Virginia Bar + Mentoring of others + Experience with dispute resolution and litigation + Experience managing outside counsel + Experience with corporate governance + Business acumen with strong analytical abilities + Ability to travel once or twice per year + Active security clearance a plus EQUAL EMPLOYMENT OPPORTUNITY It is Technica's policy to affirmatively support Equal Employment Opportunity (EEO) for all qualified individuals without regard to color, gender, religion, creed, national origin, age, race, disability, gender identity, genetic information, sexual orientation, marital status, veteran status or any other characteristic protected by law.
