The Paralegal will provide support to lawyers in the Luminace DG legal team in the following main areas: (i) support on pipeline transactions for our robust DG solar business, including the negotiation and management of project-level documentation, (ii) support on corporate level financings of our solar pipeline, (iii) corporate work including the creation and maintenance of Luminace DG legal entities and (iv) on operational matters and other matters handled by the Luminace DG legal team. More specifically, the Paralegal's responsibilities will include the following: Pipeline and Financing Transactions Acting as the paralegal on pipeline transactions by assisting internal legal counsel with due diligence and transaction management, including gathering, reviewing and summarizing information and agreements, and preparing and populating virtual data rooms with final project level agreements for later use in our various financings Interacting with various internal business unit(s), outside vendors, and outside counsel as required throughout the pipeline transactions to assist in managing the transactions Drafting and working with internal and outside counsel to review resolutions, assignment documentation and corporate closing documents such as officer's certificates for our various financings Corporate Activities Creating and managing legal entities in good standing, including upkeep of corporate databases and organizational charts Maintaining minute books and corporate entity database for Luminace DG entities, creation/dissolution of entities, preparing various resolutions (annual resolutions, dividends, capital contributions, transfer of interests, special approvals, etc.), completing corporate filings Researching and analyzing corporate law matters Assistance in signature process Operational and other business matters Assisting internal legal counsel with various operational matters handled by the Luminace DG legal group such as contract review & drafting, legal research and negotiation Developing and maintaining procedures for contractual, regulatory and legislative compliance tracking and monitoring Providing recommendations and solutions following review and analysis of legal documents Playing a central role in the improvement of business processes Requirements Ability to work in a dynamic, fast-paced team environment, to adapt quickly to changing priorities and to work under tight deadlines A strong collaborator and team-player with demonstrated success in building relationships across an organization Strong interpersonal and communication skills with all organizational levels Advanced analytical and problem solving skills and strong attention to detail Excellent planning, time management, and organizational skills Resourceful, confident and independent self-starter Qualifications Paralegal diploma or equivalent education/experience Minimum of four (4) to eight (8) years of experience as a paralegal supporting lawyer on complex corporate/commercial transactions and handling corporate matters in a fast-paced and dynamic law firm or in-house environment Excellent knowledge of corporate and commercial law High proficiency in Microsoft Word and Outlook as well as knowledge of Excel and PowerPoint Strong organizational skills Strong drafting skills with legal drafting expertise Strong communication skills (oral and written) Job Type: Full-time Schedule: 8 hour shift Monday to Friday Supplemental Pay: Bonus pay Education: Bachelor's (Preferred) Work Location: One location
