A career in our United States National Tax Practice Mergers and Acquisitions practice, within United States National Tax services, will provide you with the opportunity to help our clients gain valuable insight into emerging tax issues and trends, as well helping them implement successful tax strategies in response to legislative, federal, and judicial tax developments that will impact their business. You'll help our clients with United States federal income tax considerations primarily related to foreign persons' activities in the United States, United States persons' activities outside the United States, cross border mergers and acquisitions, financial transactions, and insurance companies. Our team helps our clients assess tax obligations related to acquisitions, dispositions, mergers, joint ventures, and initial public offerings. You'll focus on managing acquisition and merger risk, structuring acquisitions to optimise net cash flows, carrying out pre-acquisition or pre sale due diligence, and ensuring that tax compliance requirements are met throughout the deal. PwC Tax provides unparalleled technical knowledge and specialization and industry insights, coupled with the One Firm knowledge that brings everything PwC offers to solve our clients' needs Job Requirements and Preferences : Basic Qualifications : Minimum Degree Required : Bachelor Degree Required Fields of Study : Accounting Minimum Years of Experience : 8 year(s) Certification(s) Required : CPA, Enrolled Agent or Member of the Bar Preferred Qualifications : Degree Preferred : Juris Doctorate Preferred Fields of Study : Accounting, Taxation Preferred Knowledge/Skills : Extensive knowledge of accounting methods and inventories, including income deferral opportunities, deduction acceleration, LIFO inventory implementation and enhancements, application of the uniform capitalization rules, accounting for intangibles, capitalization versus expense issues, depreciation, accounting for environmental costs, long-term contract accounting and cost recovery issues and other tax issues. Thorough knowledge on the timing of income and deductions in connection with lawsuit damages, environmental remediation costs and recoveries, insurance reimbursements and recoveries, and net operating losses. Considerable knowledge of general tax accounting issues, identify and implement tax accounting planning opportunities, and perform accounting method and inventory studies. Extensive technical skills, including the application of tax code, legislative and regulatory requirements, interface with IRS Chief Counsel and participate in the AICPA's Tax Accounting Technical Resource Panel task forces to submit comment letters to the IRS and Treasury Department. Thorough experience identifying and addressing client needs: developing and sustaining deep client relationships using networking, negotiation and persuasion skills to identify and sell potential new service opportunities; preparing and presenting complex written and verbal materials; and defining resource requirements, project workflow, budgets, billing and collection. Thorough experience as a team leader: leading teams to generate a vision, establish direction and motivate members, create an atmosphere of trust, leverage diverse views, coach staff, and encourage improvement and innovation. Demonstrates a proven record of success as a tax technical team leader generating new business, proposal writing and delivery, collaborating across engagements and business units. Identifying opportunities to provide additional services with experience utilizing a CRM system in a professional services firm to network, develop relationships and sell additional/new services. Demonstrates experience in a professional services environment utilizing automation & digitization in a professional services environment, including but not limited to: - innovating through new and existing technologies, along with experimenting with digitization solutions; - working with large, complex data sets to build models and leveraging data visualization tools to provide insights to clients; - transforming the business by creating capacity and delivering an enhanced employee and client experience. Proven experience with evaluating and negotiating new and existing contracts, as well as leveraging pricing tools to contribute to pricing strategies.
