About the OpportunityDMI is looking for an Associate General Counsel to assist with our commercial business. Duties and Responsibilities: Primary responsibility will be drafting, reviewing, revising and negotiating sophisticated contract documents for DMI's commercial business in coordination and consultation with DMI's management team, Contracts Department and SMEs. The Associate General Counsel will serve as the primary point of contact in the Legal Department for contract negotiators and administrators in DMI's Contracts Department. The types of contract documents will include, among others, master services agreements, statements of work, confidentiality agreements, reseller agreements, teaming agreements, referral partner agreements, subcontractor agreements (including flow down provisions), consultant agreements, software licenses, SaaS/PaaS agreements and data processing agreements, relating to all aspects of DMI's commercial business.Provide analysis and advice to internal clients regarding legal and business issues, including identifying risks and clearly communicating complex issues to managementProvide advice regarding commercial contract disputesOther related responsibilities as part of DMI's in-house Legal team, as determined collaboratively with the Chief Legal Officer and Deputy Chief Legal Officer (eg, legal and contract compliance issues, contract administration matters)Will report to the Deputy Chief Legal Officer of DMIRequired Skills/Abilities:Significant experience drafting commercial agreements Strong preference for in-house experience with professional services and IP transactional matters, including software licensingExcellent negotiation skills and interpersonal skills with the ability to work in a fast-paced, dynamic environmentAbility to develop creative and business friendly solutions Versatility to handle a wide range of non-routine, complex contracts Attention to detailFlexibilityMinimum Qualifications:10+ years of directly relevant experienceLaw degreeAdmission to BarPhysical Requirement(s): NA Location: DC Metro preferred, will consider remote candidates that are open to travel to the DC Metro area
