Description We're seeking a seasoned intellectual property attorney with broad, in-depth transactional experience, including significant experience leading IP aspects of mergers, acquisitions, joint ventures, divestitures and software licensing. Key Responsibilities: + Anticipates, manages and resolves IP issues that arise across the lifecycle of M&A activity. + Oversee and conduct IP diligence on M&A and Open Innovation transactions + Leads or supports due diligence, analysis, structuring, drafting and negotiation of IP terms and agreements during mergers, acquisitions, divestitures and joint ventures, and related post-closing activities. + Act as a subject matter expert for IP diligence and deployment of IP strategic vision including developing standard work + Leads the management of IP issues on complex client-facing or alliance transactions and liaising with legal colleagues and business teams to resolve those issues. + Drafts, analyzes, structures and negotiates agreements related to all types of IP transactions, including software licenses and collaboration agreements. + Develops and formalizes IP-related processes, templates and form agreements. + Determine best practices and assist with creating and maintaining IP Policy. + Develops and implements IP strategic initiatives, policies, best practices, and training designed to mitigate IP risks and maximize business outcomes. + Maintain the Danaher IP diligence Work Plan and act as a trusted partner to the Corporate Development team Required Skills & Experience + 7+ years of experience in a law firm or in-house IP legal environment with a focus on M&A + Comfortable advising and educating senior management on IP issues + Strong interest in developing IP strategy, policy and processes for M&A + Excellent project management skills + Demonstrated success working in a fast-paced, results-driven environment. Curious, self-starter able to work independently and as a part of a team; able to balance competing priorities + Excellent oral and written communication skills, with a willingness to listen and learn from others.
