It creates exceptional.**Director, Senior Corporate Counsel, IP and Technology The selected candidate will be responsible for addressing and/or managing Iron Mountain's global Intellectual Property ("IP") including drafting, negotiating, interpreting and advising on IP development and commercialization, strategic partnerships and other third party agreements with a focus on software licensing arrangements, cloud based alternatives and impact on privacy. Evaluating inventions to determine patentability and drafting, filing and prosecuting patent applications before the USPTO and foreign counterparts. Advising and counseling clients on various IP matters involving copyrights, patents, trademarks, and trade secrets. Managing outside counsel where needed globally Key Responsibilities:**+ **Focus on reviewing, drafting, negotiating, and closing mission critical/strategically important software licensing, SaaS, PaaS, cloud services agreements and related data sovereignty issues and other partnering arrangements**+ **Guiding internal business, engineering, product, and innovation teams from early stage product development to commercialization and launching**+ **Guiding IP protection strategy and policy with a focus on open source, trade secrets, and patents and developing commercial terms for new and expanding technologies. Liaison with the Chief Technology Officer on educating and training impacted internal resources**+ **Understanding and implementing company approach to open source agreements and framing, educating and training on company usage of such software**+ **Understanding and implementing company approach to cloud architecture, enterprise platforms, AI/ML offerings and creating, updating and managing contract and templates with solutions and capabilities offered to customers**+ **Understanding all Iron Mountain business lines, including new products sponsored by the team and the legal issues associated with them. Familiarity with standard and fallback positions in customer, reseller and vendor agreements. Developing creative solutions for internal business, sales and procurement teams to help meet business needs. Ability to explain to customers entering into agreements on issues of concern including all aspects of privacy issues surrounding data residency. The ideal candidate will have:**+ **7 to 10 years of experience both in-house (preferably at a technology company) and from a top law firm's IP, technology transactions, or corporate department;**+ **a substantial understanding of IP law and an ability to manage IP portfolios and policy;**+ **experience in a variety of technology transactions commercial arrangements;**+ **a demonstrated ability to lead and drive matters to completion; and**+ **an ability to manage numerous deals on tight deadlines. Business Expertise:** **This role requires an individual with experience in balancing legal positions and business needs preferably in an IP-related law firm or in-house position. Leadership:** **This role does not manage others directly - it does allocate work to others (either a project team or as a coordinator/team leader) and requires a proven track record of working successfully with other corporate functions particularly information technology, information security and the privacy functions. Problem Solving:** **This role requires complex judgments, in depth analysis (business and legal), interpretive thinking and the ability to independently develop innovative solutions. Nature of Impact:** **This role has an impact on the business by influencing decisions, strategy and customer acceptance through advice/counsel to various internal business clients and groups.
