About the Group VMware's Legal Department is a global team of dedicated legal, compliance, and government relations professionals who share a passion and enthusiasm to both understand and successfully navigate every aspect of VMware's fast-growing business. Primary Responsibilities In this role, you will join the Corporate Securities and Mergers & Acquisition team, reporting directly to the Vice President, Deputy General Counsel, Corporate Securities and Mergers & Acquisitions. Your primary responsibilities in this role will include: Partnering with M&A deal and integration attorneys to develop and improve existing frameworks, work processes and standardized templates for core end-to-end M&A processes, from pre-deal due diligence through integration. Building relationships with internal teams and maintaining communication channels with legal and non-legal stakeholders regarding M&A projects. Periodically running retrospective analyses to improve documentation and processes. Day-to-day coordination and management of active M&A and investment transactions, including: managing legal due diligence process, including tracking due diligence issues, coordinating requests with potential targets, identifying outstanding diligence items and creating and maintaining virtual data rooms; coordinating and running due diligence meetings with internal stakeholders; leading internal coordination of deal execution, including tracking progress, coordinating internal deliverables, and maintaining a database of closing files. Day-to-day coordination and management of legal integration projects, including: creating and maintaining legal integration dashboards, project plans, presentation materials and integration planning reports; coordinating legal entity consolidation projects, including managing outside counsel, creating and maintaining status trackers and liaising with members of the Tax and Finance teams; managing integration budget requests and tracking budget vs actuals; and coordinating and running integration status meetings, including tracking and communicating issues raised, decisions made and action items. Assistance with special projects as requested. Qualifications and Experience In order to be successful in this role, you should have the following qualifications: Bachelor's degree. At least 5 years of experience managing complex projects. Strong attention to detail, superior organizational skills and able to manage multiple projects concurrently. Ability to proactively identify and creatively resolve issues with minimal guidance. Adept at building connections and trust with team members, managing conflict, and motivating follow-through. Collaborative. Exercises good judgment and recognizes when to ask for help or escalate issues. M&A, legal operations or finance experience preferred.
