TITLE: Chief Legal Officer and General CounselRESPONSIBLE TO: President and Chief Executive OfficerDIVISION/DEPT: LegalSUPERVISES: Assistant General CounselFLSA STATUS: ExemptBASIC FUNCTION: 1) Provides oversight of all aspects of the legal function of Goodwill Industries International, Inc. (GII) as a strategic business partner, and supervises the legal team.2) Oversees enterprise risk management and corporate compliance.3) Leads the defense of the organization in lawsuits and the prosecution of lawsuits on behalf of the organization against others.4) Provides legal advice and services to President and CEO, Board of Directors, organizational departments, and member organizations on a wide variety of corporate matters.5) Oversees the hiring and contributions of global outside counsel and manages outside counsel spend.. Participates as a member of the Executive Team on strategic initiatives and business needs and provides legal and business counsel.. Advises the organization on the risks of possible business decisions and develops strategy with outside counsel in response to civil litigation and regulatory inquiries.. Creates and implements a strategic plan for the provision of legal services in accordance with and in support of business objectives, including budgeting and effective use of resources, hiring and management of outside counsel, management of legal staff. . Develops and implements Company Corporate Compliance program, and regularly reports to the GII Audit Committee with respect to any compliance-related matters.. Acts as Privacy Officer; Develops and implements Whistleblower Policy and Document Retention Policy. . Responsible for the drafting and negotiation of a wide variety of complex agreements, licenses, and other legal documents.. Handles global intellectual property and asset protection.. Provides corporate governance and Board of Directors support. . Oversees management of all wills and bequests.. Attends GII Conferences and Board meetings, including Delegate Assembly, Conference of Executives, and other GII conferences.. Handles protection of organizational IP.. Keep abreast of legal developments that could affect the operations of GII and member organizations.. Supports the GII Board of Directors.. Provide legal advice regarding Human Resource matters.. Other duties as assigned.RELATIONSHIPS:. Internal: Daily support of President and CEO, Executive Team, Department Heads, and Goodwill Members to carry out activities /advise on legal matters.. Board: Act as legal advisor to the Board and its committees.. External: Manage the hiring and service of global outside counsel; maintain relationships with other nonprofit organizations; participate in organizations with a focus on non-profit law; regulatory agencies.. Knowledge of laws impacting nonprofit organizations. Experience relating to boards of directors and creation of accompanying materials. Ability to relate well to others on a one-to-one basis, and to develop and maintain relationships with stakeholders. Ability to communicate verbally and in writing. . Ability to draft documents and to conduct and analyze research. Ability to analyze legal issues, legislation and regulations and communicate legal concepts in lay language. Ability to develop and conduct seminars and workshops on legal issues. Ability to assume responsibility and recognize priorities . Ability to effectively manage others and perform as a team playerEDUCATION:J.D. from an accredited law school licensed to practice law.EXPERIENCE:Fifteen or more year's legal experience. Experience with general corporate, trademark and non-profit law.DECISION MAKING:Organizational decisions, analysis of legal issues as they arise.SUPERVISION:Minimal - Will act as sole in-house legal counsel, with a support team. Latitude is given to determine approaches, procedures and methodologies for accomplishing the work. Receives administrative review.PHYSICAL EFFORT:Sedentary, lifting 10 lbs. maximum and occasionally lifting and/or carrying such articles as dockets, ledgers and files. Walking and standing are required only occasionally. Lifting and carrying of legal documents and books up to 25 lbs. may be necessary but is not considered to be an essential job function.
