Grace & Co.'s Legal Department is seeking an experienced, organized, and detail-oriented paralegal to support its commercial legal work and related activities at its corporate headquarters in Columbia, MD. As a key member of the Legal Department, you will work alongside Grace's in-house counsel and business team members for the company's Refining Technologies business segment. In this position, you will draft standard commercial agreements and contract amendments, conduct due diligence reviews, and work on novel issues in support of the business. You will also provide general support to other attorneys at Grace (commercial, litigation, and other areas) and help with the development and implementation of processes for efficient and streamlined operations, including workflow between the Legal Department and the business teams at Grace. Responsibilities * Prepare first drafts (both sales and procurement) of standard form commercial agreements and contract amendments, as well as other legal documents * Complete initial reviews of contract documents to flag potential concerns or issues for escalation within the Legal Department and/or the business * Work with Grace business team on contract development and finalization (gather business information, obtain authorizations, track contract status, etc.) * Maintain a contract form library for fast and efficient document creation * Conduct anti-corruption due diligence, particularly regarding agents and distributors * Coordinate with outside counsel as needed on contract-related issues and other commercial matters * Support other Grace attorneys on a variety of legal (eg, commercial, litigation, corporate, regulatory) and operational matters * Maintain records and organize materials in an efficient legal filing system as well as in onsite and offsite document repositories * Perform legal and general research Required Skills * Experience drafting and negotiating customer and vendor contracts and demonstrable skill in negotiating and understanding contact provisions and risk allocation * Strong research, analytical, writing, and communication skills, as well as superior attention to detail * Ability to work quickly and independently, with strong problem-solving, organizational and project management skills to balance multiple priorities and deadlines * Demonstrated interpersonal and communication skills and a commitment to professionalism and collegiality * Proven ability to collaborate effectively with Legal Department team members, business partners, and outside counsel, as well as work independently * Thorough knowledge and experience in Microsoft Office products (Word, Outlook, Excel, PowerPoint), Westlaw, Pacer, and online free legal research tools * Demonstrated aptitude for learning new subjects and technologies Required Experience * Bachelor's degree OR Paralegal certificate * 5+ years of experience as a paralegal at a law firm or in-house legal department #WRGRACE Grace is not accepting unsolicited assistance from search firms for this employment opportunity.
