Microsoft has an immediate opening for an experienced attorney to join the Commercial Team in the Corporate, External, and Legal Affairs (CELA) department. The position, based either in Redmond, Washington, or another office within the US, offers many opportunities to take part in driving Microsoft's strategic growth and success. Your primary responsibility will be providing commercial transaction support and strategic thinking across a variety of Microsoft business groups including consulting services and Microsoft's Worldwide Commercial Business and beyond. Knowledge, Skills and Abilities * Negotiations - The ability to achieve mutually satisfying agreement in negotiations with customers and partners by listening to their needs and objectives, acting as counsel to your business clients, to effectively close out complex technology and digital transformation deals. * Analytical Thinking - The ability to collect information and identify fundamental patterns, trends, and risks in complex settings. This includes the ability to gather, integrate, and interpret information from several sources; use information to generate insights; and make decisions to help deal scale, flow, and pace. * Legal and Regulatory Requirements - Knowledge of the rules, regulations, and other statutory requirements, guidelines, and standards relevant to complex technology deals, including in relation to the intersection of technology and data privacy and security. * Legal Acumen - The ability to interpret, analyze, and advise on the company's legal position. This includes the ability to apply knowledge of the legal framework related to one's practice area, use legal information to diagnose key issues, and develop strategies and plans. * Creativity - The ability to develop and present creative solutions to challenges affecting the company and our customers. Relationship Management - The ability to develop and maintain strong working relationships with supervisors, staff, managers, customers, and vendors. This includes expressing empathy and compassion when dealing with the needs and problems of others, being approachable, taking time to address the concerns of coworkers, and treating others with respect and dignity. * Communications - The ability to communicate clearly, diplomatically, and effectively to an audience that may include senior business clients, legal colleagues, customers, and others. * Intellectual Property Knowledge - Knowledge of how intellectual property rights apply to technology and complex deal settings. Required/Minimum Qualifications * Juris Doctorate Degree or Equivalent International Degree Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction. * Minimum of 5+ years' experience as a practicing attorney or equivalent practice of law. * Minimum of 3+ years of experience as an attorney handling complex deals, including professional services and digital transformation transactions for large corporations globally, or similar experience in representing corporations. Additional or Preferred Qualifications * Experience as an attorney with strong knowledge of privacy and data protection issues for a large corporation or similar experience is a plus. * Technical or engineering background and/or passion for technology, and experience in cloud computing, AI technologies, and related legal issues. * Excellent negotiation, legal drafting, and communications skills. * Sound judgment that incorporates strong legal analysis, a pragmatic approach, and consideration of business goals, risk tolerance, and external stakeholder priorities. * Enthusiastic "team player" who enjoys partnering with cross-functional teams to solve complex issues and works collaboratively to generate consensus across diverse points of view. * Demonstrated ability to thrive in ambiguous settings and with a bias for action in a fast-paced, fluid, highly matrixed environment. Benefits/perks listed below may vary depending on the nature of your employment with Microsoft and the country where you work. * Legal Advice and Counsel - You will act as the legal contact for assigned business clients and advise on related legal issues, including providing commercial deal support for Microsoft's Consulting Services and Worldwide Commercial Business as well providing deal support to CELA's global field legal teams. * You will advise a global, dynamic Consulting Services business on scalable solutions and offerings and on a broad range of complex legal, business, and transactional issues, including intellectual property, privacy, security, liability, defense obligations and regulatory compliance. * You will work directly with executives, business development professionals and CELA teams to analyze legal risks, devise creative solutions and develop strong, trusted advisor relationships. * Expertise - You will contribute proactive counseling to clients and CELA colleagues using your commercial deal knowledge and experience, including in relation to data protection. You help drive cross organizational input and company alignment on professional services privacy and data protection terms. * You will provide relevant education, training, and support to the worldwide CELA field community. * Act as the primary legal contact for assigned clients and advise on related legal issues, including support for the organization advising on data, security, and privacy compliance across Worldwide Commercial Business. * Communication - You will organize and simplify issues and ideas in written or verbal communication; you will work collaboratively within and across Legal and Corporate functions; you will identify and engage appropriate stakeholders in Legal and * Corporate Affairs and escalate issues when necessary.
