Major responsibilities Maintains corporate minute books, corporate secretary calendar and tracking of Board actions and governance documents Creates subsidiary organizational documents, including articles of incorporation or dissolution, and supports state filings Assists in maintaining legal contract forms and policies Supports routine SEC filings, including filing of Form 4s and Form 8-Ks Ability to effectively prioritize and organize a substantial amount of work Data base management of all relevant documents and contracts Job Requirements: - Should possess a thorough knowledge of word processing and spreadsheets - Corporate governance experience - Comprehensive knowledge of corporate minutes book - SEC filings experience - Corporate paralegal experience with a publicly traded company required - Attention to detail and accuracy, and discretion - Strong verbal and written communication skills with a customer service mindset - Confidence in taking ownership of projects, writing and negotiating, planning and organizing - Eager problem-solver who listens for customer cues and actively resolves problems with grace and integrity This opportunity will help build your case management skills, develop client relationships, and provide training to support staff.
