Principal Associate, Contract Manager

As a Contracts Manager, you will draft and negotiate third-party complex contracts. You will work closely with internal business resources and procurement stakeholders to ensure all third-party agreements meet Capital One's legal and third-party management policies. You will partner with world-class professionals to bring procurement resources, tools, methodologies and judgment to business units. And it will happen in a collaborative environment that values insight, creative thinking, group problem solving and rewards intellectual curiosity and a growth-minded spirit. The ideal candidate has exceptional written and oral communication skills coupled with an ability to thrive in a fast-paced, dynamic environment.

Key responsibilities and skills include:
  • Transaction Assessment and Planning : You'll work closely with business associates and internal stakeholders to understand the nature of the deal, synthesize complex issues, determine risks, and craft a right-sized approach in accordance with our standards and guidelines. As the central point of contact for each transaction, you'll need exceptional leadership and organizational skills to negotiate and execute deals within business and ESM timelines.
  • Drafting : You'll secure the appropriate terms (terms and conditions, price, deliverables, service level agreements, etc.) for each contract given business needs and risk. Creativity in drafting and confidence in right-sizing deal terms are critical.
  • Negotiation : You'll be responsible for planning, communicating and executing a negotiation strategy in a timely manner, being flexible to changing circumstances, and delivering excellent results while maintaining a customer-focused attitude. Problem-solving and critical thinking skills are a must.
  • Communication : Fellow associates, leadership at all levels of the organization, and third parties will expect you to communicate effectively. You'll need to explain risks clearly in various contracting scenarios, with an ability to determine which risks are truly material in each transaction.
  • Collaboration : In addition to working independently, you'll also collaborate with our diverse ESM team, stakeholders, and business points of contact and use your influence to guide these partners towards the best outcome.
  • Strategic Advice : Serving as a subject matter expert on Capital One's contracting policies, you should understand and be able to explain what we do and why we do it. By identifying and minimizing risks and proposing creative, customized paths forward, you'll play a crucial role in helping Capital One bring ingenuity, simplicity, and humanity to banking.


Basic Qualifications:

• Bachelor's Degree or Military experience

• At least 3 years of direct experience drafting and negotiating contracts

Preferred Qualifications:

• Juris Doctorate

• At least 1 year of Procurement contracting or business Legal experience

• At least 4 years of direct experience in drafting and negotiating contracts
