Job Description As a Paralegal reporting to the Associate General Counsel, you'll be responsible for assisting with Corporate Secretarial functions and Board Operations, Law Firm Management, Contract support, Providing support to litigation and M&A projects, and otherwise supporting Contracts Compliance and Legal leaders. **This is a temporary position** Key Responsibilities: Supporting CAES Board Operations by supporting SSA Board meetings, managing meeting dates, preparing agenda, and annual agenda plan, owning web-based Board tool, and serving as a POC for the Directors Supporting the Corporate Secretary function by preparing resolutions and Unanimous Written Consents, maintaining information on officers and directors for US companies, managing qualifications of CAES Head Office and Group US Head Office companies (incl CMSI), managing the relationship with Corporate Services Corporation (invoices), etc. and serving as the US POC for questions on US companies; managing GEMS info for CAES companies; updating US Legal Entity charts Managing law firms by reviewing and approving invoices; maintaining and publishing the database of approved law firms to be used within North America; monitoring external legal spend across North America, providing high level analysis to the GC North America to inform insourcing vs outsourcing strategy for Legal; dealing with retention letters, and communicating to law firms regarding H1 and H2 invoices and acruals Preparing or reviewing contracts, amendments, and NDA's upon request relating to Sector, and CMSI contracts Maintaining database for CAES of plc guarantees; Cobham AES Holdings guarantees; change of control; etc. "Contract management" of the SSA and AOP (amendments, conformed copies) Preparing periodic LC&C reports (MOR, CCL) Preparation of and management of broker Powers of Attorneys Supporting litigation (database of litigation, preparation of SDR/MDR) for NA and CAES matters Manage the bi-annual process for legal entity compliance for SSA companies Maintain the database of IP (Patents and Trademarks). Manage USG Extranet, On-line training (assignments and completions), Editing and publishing USG Compliance Updates, and monitoring compliance issues, to include internal and external compliance audit findings Support M&A activity, as needed Manage Legal and Contracts and Commercial content on CAES intranet Support the CAES Risk Manager by issuing due diligence requests for insurance Support Internal Audit by issuing periodic fraud questionnaires Core Competencies: Embracing Change Influence & Communication, written and verbal Initiative & Drive; Self-starter, ability to work with minimal supervision Willingness to learn and develop Managing Time & Priorities Problem Solving & Creativity Working in Teams Attention to detail with reliable follow-up ability Ability to project manage Minimum Qualifications: BA or BS degree from an accredited college or university Paralegal certificate and/or certification from an internationally recognized compliance body 5+ years experience in law firm or corporate environment, to include legal research, corporate secretarial experience, drafting and preparation of NDAs and other contractual documents, preparation of legal memoranda and preparation of corporate policies Proficient with Microsoft Office suite (minimum: Word, Excel, and Powerpoint; Access is a plus) Excellent written and oral communication skills in order to prepare concise recommendations, reports, and briefings to senior level company officials US Citizenship is required for eligibility to obtain/maintain a security clearance Preferred Qualifications: Familiarity with FAR, DFARS, ITAR, EAR, FCPA, Bribery Act, Business Ethics About Us: Founded in 1934 by aviation innovator Sir Alan Cobham, our values of Trust, Talent and Technology have driven us to become a global leader in state-of-the-art aerospace and defense systems.
