ViiNet is a fintech and media startup helping foreign capital holders invest into US opportunities. The Associate General Counsel will assist Sunwater's Managing Director & General Counsel with general corporate transactions as well as compliance and special projects. Working with the Managing Director and General Counsel and reporting to Sunwater's Founder/ViiNets Chairman, the Associate General Counsel will also manage securities compliance and general contracts for ViiNet. We are looking for a motivated individual who can independently drive forward legal projects and work with various stakeholders. Positive, team-oriented attitude required. Familiarity with corporate transactions and securities law, keen attention to detail, and ability to read, speak and write Mandarin professionally a must. Competitive salary and benefits. Duties and Responsibilities Review prior transactions and organize past contracts and filings Draft corporate documents for new transactions based on company templates and independent research Day to day contract review, revision and negotiation support Research various compliance-based law (eg HR, securities, etc) Research securities law and implement procedures to enhance compliance Assist in the structuring of corporate entities, funds, etc Interface with outside counsel on securities law, media law, etc Requirements 5+ years experience as corporate counsel 3+ years corporate securities compliance experience Strong legal drafting skills in English and Mandarin Strong communication and organizational skills Ability to travel to North Bethesda Must be self-directed, able to work independently, as well as work in a team-oriented setting
