Salary Staff Counsel, Subawards and Subgrants: $98,500 to $104,250 Senior Specialist, Subawards and Subgrants: $75,600 to $80,050 Position Summary Working under the direction of the General Counsel, the Subawards and Subgrants Professional will be responsible for facilitating the review and negotiation of all subawards, subgrants and other related documentation by managing the association's subaward and subgrant processes and systems. The Professional will oversee the association's subaward and subgrant risk assessment, monitoring and evaluation processes in order to help ensure that APHL's interests are protected and that the association is in compliance with all applicable terms from a cooperative agreement or other funding source agreement. The Subawards and Subgrants Professional serves as the principal operational point of contact within the Legal Department for all subaward or subgrant matters. Working closely with the General Counsel and other Legal Department staff, the Professional must be able to understand and translate legal concepts into plain English and to distinguish between issues that pose critical or material risks and those that while hypothetically possible are remote or immaterial. In addition, the Professional will need to be able to facilitate risk assessments, monitoring and evaluation of subaward recipients in fluid or evolving circumstances and to work on multiple projects concurrently. The Professional will work with the General Counsel and, as needed, other Legal Department staff to ensure that the department's document review and approval process provides an effective and efficient delivery of legal services to APHL. To this end, the Subawards and Subgrants Professional will assist in the development and maintenance of subaward and subgrant related policies, procedures, user guides and training materials for use across the association. If the individual serving in the Subawards and Subgrants Professional role has a JD and is admitted to practice law, they will serve as Staff Counsel, Subawards and Subgrants. If the individual serving in the Professional role does not have a JD and/or is not admitted to practice law, they will serve as Senior Specialist, Subawards and Subgrants. This position reports to the General Counsel. Duties & Responsibilities In connection with any subgrant to APHL or subaward from APHL to another organization, oversee compliance with the funding conditions and requirements of applicable award letters, agreements and contracts. Working with the General Counsel and, as needed, other Legal Department staff, help facilitate timely review and negotiation of subawards to other organizations or subgrants to APHL and any memoranda of understanding, teaming agreements, confidentiality or non-disclosure agreement or other strategic legal documents related to these subawards or subgrants. Assist in the preparation of proposals or other subaward or subgrant documentation. Serve the primary operational or administrative Legal Department contact (and for candidates who are admitted to the practice of law, also serve as the principal legal point of contact) for all subaward or subgrant matters, provide non-departmental staff with advice and assistance on these matters and help develop and implement training programs for all staff on APHL's subaward and subgrant policies. For candidates who are admitted to the practice of law, oversee and facilitate association compliance with the subaward/subgrant provisions of 2 CFR 200 (the Office of Management and Budget's Uniform Administrative Requirements) and other applicable laws and regulations. Help ensure an effective and efficient subaward and subgrant process and oversee the risk assessment, monitoring and evaluation of current or proposed subgrantees or subrecipients. Ensure that the physical subaward and subgrant files and the electronic databases of these documents on SharePoint are maintained and updated in accordance with departmental standard operating guides. Working with the General Counsel and, as needed, other Legal Department staff, develop and refine departmental operating procedures for all subaward and subgrant functions and train operations staff on these procedures. Collaborate with the General Counsel and the Director, Grants Management on development of association-wide subaward and subgrant SOPs and maintain APHL's subaward and subgrant systems and controls. Other duties as assigned. Knowledge Staff Counsel, Subawards and Subgrants: * A JD from an accredited law school, with a strong academic background. * Membership in good standing of the District of Columbia or Maryland bar, preferred; current bar membership in another US jurisdiction with the ability to practice law in Maryland under the "in-house counsel" exemption, required. * At least 2 years of relevant legal practice is required, with experience in some or all the following areas of law preferred: corporate, transactional or administrative law; tax-exempt/not-for-profit governance; government and non-government contracting and grant-making. * Familiarity with current practices and procedures for researching, accessing and maintaining data or resources. * Experience in drafting and negotiating subgrants, subawards or other complex contracts. * An understanding of the professional duty and dual role - that of both a management and programmatic partner and a guardian of the institution - of in-house legal counsel desirable. * Experience in development of standard operating procedures preferred. Senior Specialist, Subawards and Subgrants: * A BA/BS with a strong academic background. * At least 4 years of prior experience in compliance matters, grants management, government or non-government contracting, paralegal work or subgrant or subaward administration. * Familiarity with current practices and procedures for researching, accessing and maintaining data or resources. * Experience in management and administration of subgrants, subawards or other complex contracts preferred. * Experience in development of standard operating procedures desirable. Skills Staff Counsel, Subawards and Subgrants: * Strong oral and written communication skills including the ability to identify and frame issues and convey them clearly to non-lawyers. * Strong legal research, analytical and problem solving skills. * Excellent analytical, strategic thinking and organizational skills. * Excellent interpersonal relations skills. * Strong computer skills including familiarity with Windows operating systems, Microsoft SharePoint and Microsoft Office products. * Analytical thinker with the ability to problem-solve. * Demonstrated organizational and time management skills and proven ability to handle multiple competing priorities simultaneously. * High attention to detail. Senior Specialist, Subawards and Subgrants: * Strong oral and written communication skills including the ability to identify and frame issues and convey them clearly to legal and non-legal staff. * Strong research, analytical and problem solving skills. * Excellent analytical, strategic thinking and organizational skills. * Excellent interpersonal relations skills. * Strong computer skills including familiarity with Windows operating systems, Microsoft SharePoint and Microsoft Office products. * Analytical thinker with the ability to problem-solve. * Demonstrated organizational and time management skills and proven ability to handle multiple competing priorities simultaneously. * High attention to detail.
