Provides paralegal and administrative support to the General Counsel and all attorneys in the Sentara Legal Department, performing a variety of paralegal, technical and administrative functions. The position involves regular interaction with executives and senior management, operations personnel, clients, courts, local, state and federal government offices and external counsel . Responsible for maintaining internal databases and assisting the Sentara Legal Department with legal matters.

Essential Duties and Responsibilities:
  • Prepare, review, analyze and transmit correspondence, memoranda and legal documents, including corporate governance documents and transaction documents.
  • Through the Legal Department's online legal request platform, serve as an intake source and coordinator of client requests for legal assistance.
  • Prepare and file applicable governmental filings, including fictitious name certificates, filings with the appropriate state corporation commission and/or Secretary of State and other agencies, and maintain such filings in current-and-good-standing status.
  • Update and maintain corporate governance files, including a current compilation of bylaws, articles of incorporation, board members, and officers for all Sentara Healthcare divisions and affiliates.
  • Prepare meeting minutes for board of directors meetings and committee meetings, as directed from time to time.
  • Assist in drafting, and reviewing agreements; provide support to Sentara lawyers with respect to contracting matters.
  • Assist with maintenance of Legal Department's contract database.
  • Assist in maintenance of Legal Department files (paper, digital and electronic) and assessment of file management systems.
  • Act as liaison between the Legal Department and outside counsel for matters related to billing and maintain an invoice spreadsheet providing detailed cost data; assist General Counsel in analysis of expenditures on outside counsel.
  • Perform research, data collection and document review.
  • Assist General Counsel with Legal Department project management to include giving account to attorney practice focuses and availability.
  • Accept service-of-process on behalf of registered agent.
  • Other duties as assigned by General Counsel and supervising attorneys.


Education Level
Associates in Paralegal Studies

*Bachelor's Degree and Paralegal Certification Preferred

Minimum of 5 years corporate Paralegal experience, particularly in tasks outlined above, preferred.

Notary Certification in the Commonwealth of Virginia.
