The Vice President & General Counsel is the chief legal officer for Company d/b/a The Great Courses. In this capacity, the person will serve as General Counsel of the Company, the Chief Compliance Office, Vice President & Secretary of the Company's corporate entities, and a member of the Company's Leadership team. The position will have overall responsibility for all legal, regulatory, transactional, compliance and related activities of the Company, and will work closely with other members of senior management, company personnel, the Board of Directors and outside counsel.Key Relationships:Reports to: President and CEOSupervises: Part-time Paralegal and Contracts Manager Essential Duties and Responsibilities include the following: Sole in-house counsel responsible for day to day legal and transactional support:Contracts, including partner, vendor, customer and production/talent agreementsIntellectual PropertyEmployment LawMarketing, Advertising and Partnership supportReal EstateTechnology TransactionsData Protection and PrivacyInsurance and Risk ManagementInternational legal and regulatory mattersTax supportCorporate Policy DevelopmentM&ALitigation and administrative claimsCustomer ComplaintsCorporate Governance and Board SecretaryManagement of the Company's official corporate and Board filesChief Compliance Officer and management of the Company's Ethics HotlineManagement of outside counsel as neededMember of Company's Leadership TeamThe ideal candidate experience for the Vice President & General Counsel at TTC will include:BA, BS or other University Undergraduate DegreeJDActive Bar Association Membership10+ years of legal practice experience, preferably with some in-house experienceGeneralist legal background required, with emphasis on experience with commercial transactions and intellectual propertyWorking knowledge of corporate law, compliance and HR issuesCandidate should possess a collaborative work style, an ability to communicate legal and business issues and processes to all relevant stakeholders, and excellent communication and negotiating skillsStrong organizational skills and attention to detail
