It is a unique public-private partnership that receives a federal appropriation and raises significant private funds to support its diverse work that includes a memorial museum, global education, scholarship, collecting historical/relevant materials, and genocide prevention. The Museum seeks an attorney with a service-oriented mindset. Serving as a trusted advisor to Museum leadership the candidate will deliver sound advice and work products in a timely manner, and partner with colleagues to find creative solutions that advance the Museum's mission. The Office of General Counsel handles a high volume of work, often with sensitive deadlines, and requires the candidate to handle multiple priorities while still meeting deadlines. The successful candidate will render timely legal analysis, advice and services with respect to questions, transactions, regulations, policies, procedures, and day-to-day legal issues that fall within the scope of the Museum's programs and operations. These issues can include but are not limited to the following substantive areas of the law: non-profit organizations and their governance; employment, benefits and related HR policies; federal administration and appropriations; government and museum ethics; fundraising, gifts, sponsorship, and gift acknowledgement; personal property; procurement and contracts; museum, library and archival collections acquisitions, management, and loans; litigation; intellectual property; not-for-profit tax; technology and privacy; and international law. This is a full-time donated position (non-Federal) paid with the Museum's private funds. Salary is commensurate with experience and comes with the Museum's standard benefits package. Duties include: * Review, analyze, negotiate, draft, and render substantive advice on the terms, conditions, and implications of legal documents; * Investigate, review and analyze facts, and analyze and interpret statutes, regulations, legislation, orders and precedent decisions in order to prepare conclusions, determinations, and recommendations that will guide Museum decisions and actions for both legal and non-legal audiences; * Work with Museum management and program officials to identify and analyze legal issues and their implications, and review, revise and recommend changes for policies and procedures; * Develop strategies for maximizing the legal benefit of the Museum's combined public-private funding structure, and draft and interpret policies and procedures to inform and guide Museum staff in operating under such a structure; * Collaborate closely and proactively with Human Resources to provide legal advice on the interpretation of policies for both federal (civil service) staff and staff paid from donated funds; * Advise Museum managers and employees as to their obligations and rights on all legal aspects of their official duties; * Perform research, review pertinent documents, and advise staff on legal and tax issues concerning bequests, donations, gift acknowledgement, charitable gift annuities, and trusts and estates; * Support managers concerning the implications and effect of the tax code, treaties, and immigration rules and regulations with respect to foreign citizens who are interns, fellows, research associates, or similarly situated individuals; * Assess legal risk to the Museum in given situations using sound judgment, common sense, creativity, critical thinking, and reasonableness; * Serve as an Alternate Ethics Officer responsible for receiving ethical questions and rendering ethics opinions in response to inquiries from Museum employees on the application of the Museum's Standards of Ethical Conduct, when appointed; * Provide guidance and recommendations, assist in discovery, develop and prepare the Museum's case, and represent the Museum in legal matters involving private organizations or individuals; cases or proceedings before administrative boards or commissions or before federal agencies; and in dealings with units of foreign governments; * Exercise sound judgment in determining when referral to outside legal counsel is appropriate and make recommendations for such referral to the General Counsel. When appropriate, consult and coordinate with outside legal counsel and other outside experts; and, * Accompany management and program officials to proceedings or conferences and serve as a team member in negotiations or dealings with representatives of other agencies, state, local, or foreign governments, or private businesses. In performing these duties, the successful candidate must be innovative, solution oriented, and collaborative, and be able to manage and timely deliver on multiple priorities. In doing so he/she must be able to: * Collaborate with a wide range of staff on multiple active matters to help prevent or resolve legal issues, identifying creative solutions when needed, in support of the mission of the Museum; * Understand and process complex information, reducing it to a clear and concise written format for inclusion in legal documents; * Communicate legal analysis and theories, orally and in writing, in a clear manner understandable by both attorney and non-attorney audiences; * Prioritize efficiently various legal matters so as to optimally serve the interest of the Museum; * Demonstrate excellent written and oral communication skills, career appropriate legal research skills, and word processing skill using Microsoft Word; * Demonstrate meticulous and thorough analytical, organizational, and time management skills; and, * Produce, file, and manage his or her own workload with minimal administrative support. Qualifications for the role Education Requirements: Position requires a professional law degree received from a school of law accredited by the American Bar Association (ABA). Statement of Good Standing: Applicant must currently be a member in good standing of the bar of a state, a territory of the United States, the District of Columbia, or the Commonwealth of Puerto Rico. Proof of such membership and good standing must be submitted with your application materials. Required Experience: Minimum seven years' experience working in-house for a non-profit or quasi-governmental or governmental organization as an attorney, or working in a law firm with a significant part of your practice representing the legal interests of non-profit organizations. Also, demonstrated knowledge and practice experience in three or more of the following substantive areas of the law: non-profit organizations and their governance; federal appropriations; government and/or museum ethics; fundraising, gifts, sponsorship, and gift acknowledgement; personal property; procurement and contracts; museum, library and archival collections acquisitions, management, and loans; litigation; intellectual property/copyright; employment and benefits; not-for-profit tax; information technology and privacy; government administrative; and international law. Preferred Experience: Five or more years working as an attorney for a museum, library, archive, university, or for a federal, state or local cultural institution.
