Summary Objective: The Paralegal will work closely with the General Counsel to enhance effectiveness by researching and documenting relevant information, maintaining and organizing documents, tracking compliance matters, and supporting all administrative needs of the General Counsel. Essential Functions: Deliver the Ultimate Fitness Experience to every member, every time. Perform, supervise, and coordinate overall administrative activities under the direction of the General Counsel. Ability to understand and follow instructions with minimal supervision. Answer telephone inquiries and communicate effectively with callers. Draft and proof documents, memoranda, officer's and compliance certificates, Board Minutes, resolutions, and consents, correspondence, and registration and other applications. Job Responsibilities: Incorporation/organization of, and maintenance of qualification of, corporate entities. Filing, renewing, and maintaining tracking system for business permits, licenses, tradenames, registrations, bonds, and other similar documents. Organize and maintain documents in a paper or electronic filing systems. Conduct legal research for relevant tasks including relevant laws, regulations, and legal articles. Assist with closing of transactions and compilation and distribution of closing documents/binders whether in paper or electronic format. Maintain tracking system for document compliance, deadlines, and other matters. Superior writing and communication skills. Maintain corporate files including minute books and corporate records. Assist in preparing, editing, and drafting contracts, correspondence, reports, memoranda, and other legal documents. Monitor and review government regulations to ensure that the Company is aware of new legal requirements. Assist in mail distributions. Assist in obtaining affidavits and other formal statements. Assist in the preparation of exhibits and schedules. Assist in the preparation, updating, management, and distribution of closing agenda/checklist. Preparation and filing of documents with applicable governmental agencies. Schedule interviews and other meetings. Attend all mandatory meetings. Assume all other duties as assigned. Work morning, afternoon, evening, and weekend hours as necessary. Required Knowledge, Skills & Abilities: Strong work ethic that includes punctuality, organization, and attention to detail. Proficient in Microsoft office including Word, Excel, and Powerpoint Required Experience, Education & Certifications: Minimum 5 years of experience as a corporate paralegal in a first-tier US law firm. Associate degree in paralegal studies, or a bachelor's degree in another field and a certificate in paralegal studies, from a nationally recognized accredited institution. Sedentary work involves sitting most of the time. Jobs are sedentary if walking and standing are required only as provided above and all other sedentary criteria are met. The worker is required to have close visual acuity to perform an activity such as: preparing and analyzing data and figures; transcribing; viewing a computer terminal; extensive reading and writing; and/or using measurement devices. The worker is not substantially exposed to adverse environmental conditions (such as in typical office or administrative work).
