Job summary The Red Hat Legal team is looking for a talented attorney to join our Commercial Transactions team as a Public Sector Commercial Attorney in Tysons Corner, VA. In this role, your will primary focus on supporting Red Hat's North America (NA) public sector business and on the involvement in other commercial transactions in North America. You'll interact with the management and key business customers while providing direct support to Red Hat's sales teams in structuring and closing deals, as well as defining legal strategies. You'll need to be able to assess legal risks while applying good legal and business judgment. You'll also need to have excellent communication skills to interact with internal and external business customers while addressing complex issues in an accurate, clear, and concise, yet thorough manner. This is an ideal role for someone with experience negotiating contracts with an understanding of the practical business risks and needs of a customer, a passion for technology, excellent problem-solving skills, and an ability to thrive in a fast-paced, changing technology and business landscape. Primary job responsibilities * Draft, review, and negotiate master services and software subscription agreements, professional services agreements and statements of work, and partner agreements for resellers, distributors, systems integrators (SIs), independent software vendors (ISVs), and cloud providers * Review and analyze unique government contract requirements, solicitation provisions, and terms and conditions to ensure Red Hat's compliance with appropriate laws, regulations, federal policies, and Red Hat's business model * Support government compliance efforts, including assisting with identifying and assessing potential organizational conflicts of interests and providing compliance training * Support bid and proposal efforts, including preparing representations and certifications, addressing issues related to price reasonableness evaluations, teaming agreements, etc. * Educate customers about open source development and licensing, including Red Hat's subscription business model * Support and coach our sales team * Work with the product, finance, and operations teams to develop negotiation strategies and resolve contractual issues * Assist with the development of new Red Hat's offerings and programs and contract templates * Participate in compliance initiatives, including training internal customers on legal and contracting policies or issues, covering ethics and anti-corruption issues Required skills * Juris Doctor (JD) degree from a top law school with excellent academic credentials * License to practice law in any US state * 7+ years of professional experience with commercial and US federal, state, and local government and education market contracting, procurements that include FAR Part 12 Commercial Item contracting and channel partner support in the IT or technology industry * Knowledge of a wide range of US government procurement issues that support proposal preparation, various contract types, including non-disclosure agreements (NDAs), requests for proposals (RFPs), teaming agreements, GSA Schedule Contracts, and various types of channel agreements and subcontracts * Working knowledge of the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) set of rules is essential * Knowledge of other laws and regulations impacting Federal procurements, like EAR, ITAR, intellectual property and data rights, etc. is a big plus * In-house commercial contracting experience dealing with technology revenue transactions and supporting a sales team, or a law firm experience drafting and negotiating complex business transactions like merger and acquisition (M&A) agreements, debt and equity financing arrangements, business-process outsourcing agreements, etc. * Ability to work with minimal supervision while maintaining a firm focus on applying commercial legal principles to practical business relationships and offerings * Excellent verbal and written communication skills, attention to detail, and solid analytical abilities demonstrated through your work experience * Demonstrated passion for technology, software, intellectual property, and open source or copyleft licensing issues * Ability to work efficiently, meet demanding deadlines in a fast-paced environment, prioritize work, and adjust to frequent workload fluctuations * Creative problem-solving skills with a focus on achieving results that benefit our business while recognizing the needs of our customers * Positive, can-do attitude and a sense of humor Red Hat is proud to be an equal opportunity workplace and an affirmative action employer.
