This is a new role and this attorney will be the primary subject matter expert supporting our multi-billion dollar Commercial Real Estate (CRE) business, a segment within the Commercial Bank, that provides permanent and construction financing for a broad range of projects (including multifamily housing, office buildings, and industrial facilities), financing for REITS and real estate funds and loans supported by Fannie Mae, Freddie Mac and FHA. Senior Director, Associate General Counsel - Commercial Bank, Real Estate The Capital One Legal Department is seeking an experienced commercial real estate attorney to support its growing Commercial Bank. The successful candidate must have outstanding legal and communication skills, an ability to anticipate and deliver on the needs of an innovative, sophisticated and fast- paced business and the flexibility to simultaneously manage a wide range of transactions and projects. Responsibilities: * Advise the Commercial Real Estate real estate lending business and other Commercial Bank banking units on a wide variety of matters * Provide and coordinate overall delivery of legal support to CRE as a trusted advisor and partner to the senior management team, transaction teams and other internal partners * Lead the legal process for structuring, diligencing, documentation, negotiation and closing of CRE transactions * Engage and oversee outside legal counsel as needed in an effective and efficient manner. * Partner collaboratively with other internal counsel and business teams * Represent the Commercial Bank with external parties, including customers, regulators, partners, industry trade groups and outside law firms * Provide thought and strategic leadership on relevant industry and regulatory developments * Lead projects such as the development of form documents, negotiations guidelines and training sessions * Partner with the Commercial Bank's Risk and Compliance officers to ensure comprehensive support * Partner with the operations team to drive process improvements * Collaborate with Special Assets legal and business teams in support of workout and restructuring matters * Collaborate with in-house litigation team in support of litigation matters The idea candidate will bring a combination of these attributes: * Detailed working knowledge of commercial real estate lending issues involving title insurance, surveys, zoning, flood, casualty/liability insurance, licensing, and non- recourse carveouts, syndication and market standards * Demonstrable advocacy and oral and written communication skills, including the ability to interact successfully with all functions and levels of Bank associates, including senior management * Demonstrated ability to quickly understand the business needs and partner with the business, underwriting group, other members of the Legal Department and other constituents to create solutions and effectively deliver team results * Demonstrated leadership qualities and ability to get issues resolved across organizational borders Basic Qualifications: * JD degree and a state bar member in good standing * At least 10 years of major law firm or in-house legal department experience with complex commercial real estate transactions, including mortgage-secured real estate financing, construction lending, mezzanine loans and intercreditor arrangements * At least 1 year of experience leading projects relating to form document development Preferred Qualifications: * Knowledge of laws and regulations applicable to real estate lending across industries and structures * Excellent interpersonal, communication and influencing skills * Experience with Fannie Mae, Freddie Mac and FHA Multifamily lending * Experience with lending to REITS and REIFS, Agency Warehouse lending and Subscription lines * Experience with sponsor-backed finance transactions * Experience with loan syndications * Experience managing outside counsel * Knowledge of the National Flood Insurance Program and compliance with flood requirements At this time, Capital One will not sponsor a new applicant for employment authorization for this position.
