Senior Legal/Compliance Specialist
The Senior Legal/Compliance Specialist performs a wide variety of work assigned by the Executive Vice President, General Counsel and Corporate Secretary, including but not limited to, ethics and compliance, export control, risk insurance, stock plan administration, corporate policies/procedures and corporate governance matters. This position requires an energetic, high performing individual who is able to work with minimal supervision, quickly learn third party information platforms and produce top tier results. The desired candidate is highly organized, a team player, able to multi-task and adaptive to change. Prior experience in a corporate law department or compliance function, particularly at a government contractor, is highly desirable.
Essential Job Functions:
Ethics and Compliance
Support development and implementation of a multi-year ethics and compliance training curriculum for a growing 1200 employee organization.
Administer the Ethics and Compliance Training Program, including:
Create training campaigns using a third party learning management system
Prepare communications to employees in connection with training campaigns
Monitor and manage each training campaign after launch
Produce training completion reports and other metrics as requested
Monitor Ethics Helpline, maintain log and investigate matters as requested.
Manage and update internal Ethics and Compliance SharePoint Site.
Research and prepare articles and other communications to employees on ethics and compliance topics.
Administer company’s export control program in compliance with U.S. laws and regulations, including preparation and submission of license applications, Technical Assistance Agreements and other export authorization requests in consultation with the General Counsel. Advise business operations on export compliance matters .
Risk Insurance Administration
Administer corporate risk insurance program, including request, receipt and review of information from internal stakeholders required to complete annual applications and solicit proposals from carriers. Coordinate regularly with company’s risk insurance broker on day to day matters.
Stock Plan Administration
Using a third party information system, prepare, issue and track stock-based compensation awards. Prepare documentation as required to facilitate the company’s purchase of stock from employees. Maintain the company’s stock register. Prepare communications to employee shareholders as required.
Corporate and Other Matters
Assist with litigation, claims and other disputed matters.
Draft and review corporate policies and procedures in coordination with General Counsel and other subject matter experts and coordinate review/approval by Policies and Procedures Committee.
Prepare materials as requested in support of meetings of the Board of Directors and its committees.
Maintain corporate records of parent company subsidiaries.
Prepare and submit annual reports and other documentation to states where the company does business to establish and maintain the companies’ good standing.
Perform administrative and internal coordination tasks as assigned.
Due to the sensitivity of customer related requirements, U.S. Citizenship is required.
A High School Diploma or GED plus 10 years of experience, an Associates Degree plus 4 years of experience or a Bachelors Degree plus 3 years of experience is required.
Familiar with International Traffic in Arms Regulations.
Prior experience with U.S. State Department defense export licensing system (D-Trade) a plus.
Familiar with stock-based compensation and third party information platforms used to manage such programs.
Basic knowledge of corporate ethics and compliance programs including related training.
Relevant work experience in the areas of risk insurance and corporate governance is desirable.
Ability to quickly grasp assignments and work autonomously with periodic direction.
