We are seeking a Corporate Counsel (CC) who will be primarily responsible for drafting, reviewing, and negotiating contracts and providing general corporate and legal analysis for Avalere Health, an Inovalon company and healthcare consulting firm focused on solving complex business problems. The incumbent will also serve as a resource to others in the Inovalon corporate Legal and Compliance Department. The principal office location is out of our offices in Washington, DC, with 1-2 days per week in our corporate headquarters located in Bowie, Maryland. Avalere Health's clients are comprised of the largest pharmaceutical and device companies, health plans and providers. This is a great opportunity to join a dynamic in-house legal team in a fast-paced, energizing environment. Draft and negotiate a significant volume of sales/revenue contracts for the Company's affiliated entities; Structure, draft and negotiate complex commercial agreements with customers, including primarily professional services agreements, nondisclosure agreements and data sharing agreements; Respond to contract related inquiries and provide guidance as a subject matter expert; Identify and evaluate contractual and legal risks of business opportunities and suggest alternatives that lead to optimal solutions; and Work cross-functionally with sales, finance and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences. Qualifications JD degree from an accredited law school and licensed to practice law in MD and/or DC; 3-5 years of related experience drafting and negotiating contracts in a large law firm or corporate legal department environment; Knowledge of business and corporate law; Excellent drafting skills; Meticulous attention to detail and quality of work product; Ability to work in a fast paced and dynamic environment; Ability to effectively communicate with business team, including translating complex technical and legal issues; Experience with healthcare companies and/or consulting companies; and Knowledge of HIPAA member privacy and information security preferred, but not required.
