We are one of the nation's largest nonprofit providers of quality, affordable housing for low and moderate-income households and persons with special needs.Summary of Essential Functions, Duties & ResponsibilitiesThe Contracts and Corporate Compliance Manager will contribute to the effectiveness and efficiency of the organization's legal function in the several areas. Contracts Administration: create, maintain and update contracts database, including being the point of contact for contract review for certain entities, contract abstracting, data entry, and filing of original documents, managing and coordinating the company's contracting processes by ensuring policies and procedures for contracts are followed; assist in training all departments in contract policies and procedures, cconducting initial review of agreements for specific contract terms; assist in the development and implementation of standard agreements and internal processes, coordinating legal review of all contracts with the appropriate legal counsel in a timely manner, respond to inquiries regarding contract obligations and revisions, serve as escalation point for internal contract questions and issues, collaborating internally to ensure good communication and successful resolution, exercise independent judgment and attention to detail with an enthusiastic and self-motivated, problem-solving approach. Corporate Compliance: submit initial HUD APPS/2530 filings, update submissions and interface with HUD office where appropriate, coordinate and prepare annual report filing on behalf of 400+ corporate entities, prepare and file annual business license renewals; assist as needed in preparation and filing of franchise tax reports, sales tax exemption, charitable solicitations registration, and other routine corporate filings, prepare board materials for and coordinate with directors and management staff for bi-yearly board meetings; prepare minutes, as needed, serve as point of contact for outside service of process vendor and work with finance department on invoicing process; as needed, prepare certified resolutions and maintain resolutions books, as needed. Litigation Support: update and maintain department litigation case management database to track current and pending litigation, assist with document production, case preparation, and other litigation support duties as assigned, prepare correspondence for insurance companies and internal risk management staff regarding pending claims and lawsuits. Legal Entity Formation & Maintenance: draft corporate documents for formation of legal entities including nonprofit corporations, LLCs and limited partnerships, update and maintain corporate databases. Legal Research: research statutes, legal documents, judicial decisions, legal articles, codes, corporate information, public records, and other documents as requested; analyze research data. Technology Support: provide technology assistance and support to attorneys, as needed, stay up to date on new databases and systems; attend trainings on new systems as needed, implement systems and procedures to help Legal function operate most efficiently. Other duties as assigned.Knowledge, Skills and AbilitiesMinimum of a Bachelor's degree from an accredited institution is required and 3 - 5 years in the field or in a related area. A paralegal certificate from an accredited/ABA-approved program and/or an advanced degree is a plus. Relies on extensive experience and judgment to plan and accomplish goals; great at multi-tasking. Strong computer skills with experience in Microsoft Office, Word, Excel, Access, PowerPoint, Outlook, and Internet. Exceptional attention to detail and highly organized. A can-do, team-oriented attitude is essential, with the ability to interact with staff at all levels. Must be customer-oriented, have strong problem-solving skills, interpersonal skills and have proven experience with relationship building. Must have organizational and project management skills as well as excellent verbal and written communication skills.
