Legal Compliance Specialist/Paralegal
We are seeking a Legal Compliance Specialist to join our Legal team in our office in Sparks, MD. The Legal Specialist will be responsible for a variety of Legal support functions, including ensuring compliance under the Uniform Commercial Code in protecting businesses interest all non-titled equipment/upfitting and ensuring that all Client name change documentation is accurate, revised insurance certificates are collected, billing systems are updated and preparing and filing the necessary UCC filing to reflect the name change. Duties & Responsibilities: Uniform Commercial Code Management- Manage entire UCC process for all units for the combined entities. Review underlying lessee agreements to determine if required language and permissions are given. Review lessee corporate structure and state of incorporation. Review invoices and/or documentation received through ordering system. Determine if a UCC filing is warranted based on Uniform Commercial Code and internal policies. Prepare necessary UCC filing (create filing description, incorporate accurate filing numbers, dates of lease, proper secured party information, etc. Name Changes- Once Credit/Risk has approved, manage the name change process for all clients; work with the commercial team and client to obtain the necessary state documentation; independently review the provided state documentation to ensure that the name trail is accurate. Confidentiality Agreements- Manage all NDA templates and create all standard NDAs as requested by the business; organize and file all executed agreements. Licensing and other related compliance/legal duties- Work with Legal Specialist to properly maintain a good standing status required to do business for fleet entities in various jurisdictions, licensing authorities and other agencies. Additional tasks as needed to support the Legal and Contract Administration teams. Qualifications: Bachelor's degree or the equivalent experience in a law office, in-house legal department or financial institution. Transactional experience a plus. Strong Interpersonal and communication skills Ability to document procedures and process flows. Must be able to work independently and have a strong acumen for multi-tasking, follow up, and prioritization. Must be detail-oriented, accurate and able to work in a fast-paced environment. Microsoft Office skills required (Strong Excel background.)
