Commercial Contract Director (Edgewood or Newark)
Job Description The Commercial Contract Director is the commercial and contractual lead in the Americas Legal Department on simple and complex agreements for the region. Reporting to the Vice President, Contracts, Security and Legal Services, this position will review, draft, and negotiate and manage tenders, contracts and other legal documents for Detection in the Americas region, support the continuous improvement of standard form agreements and contractual processes & policies. Duties and Responsibilites SPECIFIC DUTIES, ACTIVITIES AND RESPONSIBILITIES INCLUDE BUT ARE NOT LIMITED TO: Provide legal support, advice, and counsel to the Americas region Draft, review, and negotiate commercial and international tenders, RFPs, contracts, licenses, and other legal documents Identify, assess, and manage contractual risks facing the business Support the continuous improvement of standard form agreements, legal processes and policies, and contract management Deliver timely, pragmatic, and business-focused legal counsel to clients, even in ambiguous situations Prepare corporate filings and assist VP, Contracts, Security and Legal Services with corporate governance and compliance Legal research and writing, due diligence, transaction and litigation support, as needed Comply with and ensure department compliance with Company health, safety and environmental policies Comply with all applicable US export control and security regulations Other duties as required Required Skills and Experience POSITION REQUIREMENTS: Education/Training: JD from accredited Law School. BA/BS degree from an accredited college or university. Experience: Minimum of 10 years of professional experience with Commercial contracts International commercial experience, preferably in high-technology or defense industries Detailed working knowledge of Commercial contracts (US and International) Corporate law and transactional experience General knowledge of export control Management or project leadership experience US Citizen and ability to obtain and hold a security clearance, if required Knowledge/Skills: Ability to handle and prioritize multiple tasks while maintaining high attention to detail Ability to maintain strict confidentiality and handle sensitive data Proficient with Microsoft Office applications (Outlook, Excel, Word) Must be self-motivator, highly organized and have the ability to work in a demanding, fast-paced environment. Member of the bar in good standing of at least one US jurisdiction Excellent writing and proofing skills Sound practical and business judgment Excellent interpersonal and communication skills Supervises Commercial Contract Managers Travel Requirements: 10-20% PHYSICAL/MENTAL REQUIREMENTS: Ability to solve complex practical problems Must be able to simultaneously manage several objectives, and reassign priorities Deal with a wide variety of variables in situations where only limited standardization exists Ability to interpret a variety of instructions furnished in written, oral, diagram, or schedule form Ability to work effectively under pressure to meet deadlines Ability to think strategically and develop strategic plan Ability to inspire, motivate and influence diverse global teams Ability to lead and work in cross-functional multi-cultural teams Individual may be required to sit, stand, walk regularly and occasionally lift 0-15 pounds Work Environment Details Work environment is in an office environment located on-site, within a Smiths location during normal or extended business hours.
