Sr. Counsel & Commercial Contract Director (Edgewood or Newark)
Job Description The Sr. Counsel & Commercial Contract Director, is the commercial and contractual lead in the Americas Legal Department on simple and complex agreements for the region. Reporting to the Vice President, Contracts, Security and Legal Services, this position will review, draft, and negotiate and manage tenders, contracts and other legal documents for Detection in the Americas region, support the continuous improvement of standard form agreements and legal processes & policies, and provide legal support in other areas as needed including corporate governance, transactions, and litigation. Duties and Responsibilites SPECIFIC DUTIES, ACTIVITIES AND RESPONSIBILITIES INCLUDE BUT ARE NOT LIMITED TO:Provide legal support, advice, and counsel to the Americas regionDraft, review, and negotiate commercial, Government and international tenders, RFPs, contracts, licenses, and other legal documentsIdentify, assess, and manage legal risks facing the businessSupport the continuous improvement of standard form agreements, legal processes and policies, and contract managementDeliver timely, pragmatic, and business-focused legal counsel to clients, even in ambiguous situationsPrepare corporate filings and assist VP, Contracts, Security and Legal Services with corporate governance and complianceLegal research and writing, due diligence, transaction and litigation support, as neededComply with and ensure department compliance with Company health, safety and environmental policiesComply with all applicable US export control and security regulationsOther duties as required Required Skills and Experience POSITION REQUIREMENTS:Education/Training: JD from accredited Law School. BA/BS degree from an accredited college or university.Experience: 7-10 years of professional experience, preferably both law firm and in-house International commercial experience, preferably in high-technology or defense industries Detailed working knowledge of Commercial and Government contracts (US and International) Corporate law and transactional experience General knowledge of export control and IPR Management or project leadership experience preferred US Citizen and ability to obtain and hold a security clearance, if requiredKnowledge/Skills: Ability to handle and prioritize multiple tasks while maintaining high attention to detailAbility to maintain strict confidentiality and handle sensitive dataProficient with Microsoft Office applications (Outlook, Excel, Word)Must be self-motivator, highly organized and have the ability to work in a demanding, fast-paced environment.Member of the bar in good standing of at least one US jurisdictionExcellent writing and proofing skillsSound practical and business judgmentExcellent interpersonal and communication skillsSupervises Commercial Contract ManagersTravel Requirements: 10-20%PHYSICAL/MENTAL REQUIREMENTS:Ability to solve complex practical problemsMust be able to simultaneously manage several objectives, and reassign prioritiesDeal with a wide variety of variables in situations where only limited standardization existsAbility to interpret a variety of instructions furnished in written, oral, diagram, or schedule formAbility to work effectively under pressure to meet deadlinesAbility to think strategically and develop strategic planAbility to inspire, motivate and influence diverse global teamsAbility to lead and work in cross-functional multi-cultural teamsIndividual may be required to sit, stand, walk regularly and occasionally lift 0-15 pounds Work Environment Details Work environment is in an office environment located on-site, within a Smiths location during normal or extended business hours.
