We look forward to receiving your application today.The Counsel, Real Estate will be a business-oriented, legal advisor responsible for Park Hotels and Resorts' legal work. Park Hotels & Resorts Inc. is a leading lodging real estate company with a diverse portfolio of iconic and market-leading hotels and resorts consisting of 67 premium-branded assets with approximately 35,000 rooms. What will I be doing?Responsibilities include the following:Managing, drafting and negotiating a wide range of real estate and related documents, including hotel management agreements, leases and subleases, construction agreements, condominium documents, utility contracts, service agreements and easementsCounseling asset management teams on a wide variety of legal matters arising from the day-to-day operations of hotel assets, including negotiations or problem solving with third-party hotel operators or franchisors and obtaining necessary approvals from lenders, landlords and joint venture partnersManaging and/or participating in all aspects of real property acquisition and disposition, including purchase and sale agreement negotiation, contract review, title and survey review and other due diligenceParticipating in all aspects of real estate financing, including the review, drafting and negotiation of term sheets and loan documents, coordinating and responding to lender due diligence requests, and preparing for and handling closingsManaging, drafting and negotiating joint venture agreements and company formation documents for real estate-owning entitiesParticipating in the analysis and oversight of land use, entitlement, zoning and permitting mattersParticipating in the oversight of various insurance claims and related matters arising from the company's real estateDrafting and negotiating a variety of other commercial and corporate contracts, including confidentiality agreements, vendor contracts, consulting agreements and license agreementsResolving disputes with vendors, landlords, tenants, lenders, managers, service providers, joint venture partners and othersConducting effective management of outside attorneys and other third-party service providersWhat are we looking for?
