Director, Business & Legal Affairs
The Director, Business & Legal responsibilities include drafting and negotiating a wide variety of (i) domestic and international license agreements and other transaction agreements for a variety of NGP consumer products in various media, including publishing products, (ii) pre-publication legal review and publishing and multi-media content acquisition and distribution agreements, including author royalty and (iii) technology agreements. Provide legal advice to internal clients as needed (often concerning legal rights and responsibilities and risk assessment) in order to make informed business decisions., * Structuring, drafting, negotiating and reviewing a variety of domestic and international consumer products agreements, in particular license agreements (including print and digital publications and maps), and other related agreements for NGP consumer product transactions in various media. * Conducting pre-publication legal review and negotiating, drafting and reviewing a variety of publishing and multi-media content acquisition and distribution agreements including author royalty, packager writer, illustrator, photographer, sponsorship and international distribution. * Negotiating, drafting and reviewing a variety of technology and personal data processing agreements. * Analyzing contracts in response to questions, as well as to provide necessary contractual/research information to other department members, other affiliate legal offices and NGP executives (to assist in business development, litigation risk assessment, etc.). * Providing company executives with necessary information (often concerning legal rights and responsibilities) in order to make informed business decisions. * Minimizing risk of breach/lawsuit and maximizing protection of NGP assets including trademark and copyright. * JD degree and active member of a bar. * At least 3-5 years prior transactional experience negotiating, drafting and reviewing one or more of the following: (i) intellectual property content and brand licensing; (ii) print and/or multi-media publishing; (iii) merchandise licensing; and/or (iv) entertainment/multi-media content licensing. * Law firm experience preferred. * Familiarity with Word, Adobe and Excel. * Must be able to respond to and interact with senior level creative and business executives in a professional, articulate, personable and useful manner. Must be very organized and detail-oriented. * Must be comfortable multi-tasking and working in a fast-paced environment. * Experience negotiating promotion agreements, software licensing, SAAS and IT vendor agreements.
