Federal - Senior Counsel - Contracting

This position will provide strategic-level guidance to AFS leadership, proposal teams, project teams, and growth platforms. He or she will manage a broad range of moderately complex to highly complex legal issues and will be responsible for the review, drafting and negotiation of contracts, including services agreements, software licenses and cloud services agreements, IT services contracts, and vendor purchase and supply contracts. Legal services provided by this position will also include compliance counseling, management of bid protests, resolution of disputes, merger & acquisition counseling, real estate contracting and guidance, support for a broad array of business initiatives, and recognition, analysis and response to emerging issues and trends. S/he will provide creative, innovative, and effective legal solutions for business deals and commercial engagements on consistently short timelines and manage risks through counseling and the implementation and practical application of AFS policies, processes and procedures. The Senior Counsel will participate in and contribute to the development and on-going review of relevant processes, guidelines and procedures, including those relating to AFS's contracting practices to assure the success and compliance of AFS consistent with federal contracting requirements. The Senior Counsel will proactively identify and communicate risk to business teams and company leadership and provide recommendations on how to mitigate that risk. S/he will be responsible for managing outside counsel and advising senior business clients on financially significant and complex matters. S/he will maintain awareness of applicable federal regulatory changes and legal developments through the review of legal publications, on-line documentation and attendance at seminars and conferences. S/he will establish and maintains strong relationships with AFS cross-functional teams and leadership. The Senior Counsel may act as mentor and coach to less senior attorneys, contract managers, subcontract and procurement teams. Qualifications Basic Qualifications: A Juris Doctor from an accredited US law school and a license to practice law in at least one US jurisdiction required. A minimum of 8 years of transactional contracting experience within a large corporation, consulting firm, government agency or law firm to include experience in government contracting with a demonstrated expertise in the Federal Acquisition Regulations, the Competition in Contracting Act, government ethics rules, and bid protests. Preferred Skills and Qualifications: Experience managing a small team and/or demonstrating strong leadership skills instincts. Solid knowledge of technology law and contract law and demonstrated success in a services and IP/technology licensing environment. Experience in supporting and leading solicitation reviews, complex proposal submissions, negotiations of wide variety of agreements, including master services, licensing, SaaS, and vendor agreements. Experience with M&A, data privacy & protection, and intellectual property, open source, and high-tech laws issues. Demonstrates strong judgment, professional demeanor and business acumen with proven record of navigating the interplay between complex legal and business issues. Displays and promotes high standards of ethical conduct and behaviors consistent with organizational and federal standards. Ability to communicate effectively and persuasively, both orally and in writing, internally to legal colleagues and business clients and externally to customers and business partners. Enthusiastic leader who enjoys taking ownership of projects and building relationships with individuals across a variety of functional teams. Excellent interpersonal skills which will enable him/her to interact with a range of personalities and styles and be able to establish effective relationships at all levels of the organization. An active security clearance or the ability to obtain one may be required for this role.
