Associate - Capital Markets Practice Group (Greenberg Traurig, LLP, McLean, VA) Provide legal consultation & guidance to clients on Federal securities matters & compliance in connection w/ public & private equity offerings, incl initial public offerings & follow-on offerings, proxy stmts & S-4 registration stmts in connection w/ bus. combo transactions. Interface w/ the SEC & other regulators regarding ongoing reporting reqmts under Securities Exchange Act of 1934 for public companies, & draft reporting docs incl 10Ks, 10Qs, 8Ks & proxy stmts. Represent issuers or underwriters in public & private offerings of debt & equity securities, incl follow-on equity offerings & Special Purpose Acquisition Company (SPAC) transactions. Provide legal counseling for pre-IPO & public companies on disclosure, corporate governance, & SEC & stock exchange reporting & compliance matters. Conduct legal research, analyze data, & draft legal opinions. Reqmts: JD, LLM or foreign equiv deg., + 3 yrs of exp in position offrd or rltd occupation as an attorney in Capital Mrkts & SPAC matters. Must have 3 yrs of exp as an attorney in: public & private equity offerings, incl initial public offerings & follow-on offerings, proxy stmts & S-4 registration stmts in connection w/ bus. combo transactions, interfacing w/ the SEC & other regulators, & familiarity w/ the ongoing reporting reqmts under the Securities Exchange Act of 1934 for public companies, incl 10-Ks, 10-Qs, 8-Ks & proxy stmts; counseling public companies, incl corporate governance matters.
