Senior Legal Specialist - Governance and Securities

The Governance and Securities team in the Legal Department is seeking an experienced paralegal (known as "Legal Specialists" at Capital One) to join a growing, dynamic group of legal professionals who support Capital One's Board of Directors (the "Board") and SEC reporting and public disclosure processes. This important role within the organization supports the logistical and legal operations for the Board and its committees, and supports a range of other corporate governance and securities matters.

Job responsibilities will include:
  • Supporting the in-person and virtual meeting operations of the Board and its committees, including by preparing and assembling meeting materials and other documentation to be used in meetings
  • Supporting Capital One's corporate secretarial function, including drafting meeting agendas, resolutions, minutes, certificates, and other documentation, and maintaining the organization's books and records
  • Serving as process manager for the drafting and preparing of Capital One's annual proxy statement
  • Contributing as a member of team responsible for tracking and reporting Capital One stock transactions by our directors and executive officers and for managing related internal policies and procedures
  • Maintaining strong relationships and lines of communication with business partners and other key stakeholders across the organization
  • Responding to requests for information in support of corporate transactions, regulatory inquiries, and litigation or other sensitive matters
  • Supporting the onboarding of new Board members and ongoing education of existing Board members
  • Performing research to assist with periodic audits and regulatory examinations and reviews
  • Providing support for Capital One's senior management committees
  • Assisting with the drafting, updating, and implementation of a variety of corporate governance policies and procedures
  • Working with internal legal counsel and/or business clients to improve existing business practices and procedures
  • Performing other related tasks and supporting ad hoc projects as needed


Basic Qualifications:
  • High School Diploma, GED or equivalent certification, or military experience
  • At least 2 years of paralegal or project/process management experience with either an in-house legal department or a law firm


Preferred Qualifications:
  • 3+ years of paralegal experience or project/process management with either an in-house legal department or law firm, with a focus in corporate governance and securities
  • Possess a strategic mindset paired with strong problem solving, judgment, and decision-making skills
  • Ability to multitask and work in a fast paced environment, properly prioritize workload, and meet deadlines
  • Excellent organizational skills and ability to work both collaboratively and independently
  • Excellent communication skills, both written and verbal
  • Capability to anticipate and resolve problems quickly and independently
  • Enthusiasm, willingness to assume increased responsibility, and a continuous improvement mindset
  • Familiarity with corporate governance at financial services or highly regulated entities
  • Proficiency in Google Workspace (formerly G Suite - Gmail and Google Docs and Drive)
