OVERVIEW:Candidate will require little direction and can really advise stakeholders and executives as well as negotiate on their behalf. They must be able to analyze contractual risk to the business and assist senior management in assessing risk exposure for the company. The selected candidate will lead our Contracts "department" and serve as the primary point of contact for the customer Contracting Officer and Partner subcontracts. They will provide the full life cycle ("cradle-to-grave") US Federal contract management, including proposal development, contract administration, and close-out to ensure compliance with contract requirements.GENERAL DUTIES:Perform cradle to grave contract and subcontract administration for government contractsDraft and negotiate NDAs, TAs, vendor agreements, subcontracts, consulting/contractor agreements, license agreements, reseller agreements, and related amendmentsReview RFIs, RFQs, and RFPs to ensure compliance and work alongside the sales team, finance, and legal in the proposal processUnderstand and negotiate contractual terms and conditions; identify, evaluate, and brief management on areas of contractual riskAnalyze contractual risk to the business and assisting senior management in assessing risk exposure for the companyServe as a liaison between internal and external parties during contract development and negotiation stages, as well as throughout contract executionReview and analyze solicitations for potential risks, including compliance with requirementsParticipate in proposal development, including writing relevant proposal portions and serving as a reviewerEvaluate contract terms and conditions and work with our legal advisors to determine approach for non-standard termsManage contract administration, process contract modifications, and monitor compliance with required contract reportingPerform Subcontracts administration to ensure prime contract flow downs are carried out and business issues are addressedParticipate in Organizational Conflict of Interest (OCI) process to ensure that potential issues are identified and mitigatedBe comfortable with ambiguity and be prepared to support the development of processes and governanceBuild relationships, both with the customer and our business partnersSupport internal/external audit activities as well as data requests from internal/external customers.Facilitate productive communication with other departments regarding legal requirements, company policies, and contract termsPrepare and disseminate information to management regarding contract statusProvide contract summaries and ensure contract execution in accordance with guidelines and company policiesHelp to build and maintain a contract repository database; track expiration of contractsCreate, simplify and improve legal and contracting processesPerform contracts/legal process training for new employeesMaintain corporate registrations (SAM, D, etc.) REQUIRED QUALIFICATIONS:Bachelor's degree in a related field and 8+ years of experience successfully managing Federal contracts at a large-scale corporation, IT consulting firm, or government entityExpert knowledge of the FAR/DFARS contracting requirements for working with the Federal GovernmentDirect experience supporting DoD and IC contractsDirect experience supporting contracts and proposals under multiple contract types (IDIQ, FFP, T, etc )Experience in drafting and negotiating contracts, statements of work, and service level agreementsExcellent oral and written communication skills are required in preparing clear, concise, and grammatically correct materials for communicating information effectively to othersAbility to document and improve work processes in order to make workflow more efficient and productiveAbility to creatively solve problems and identify solutionsAbility to work independently with minimal guidance while being a team player able to effectively manage a demanding workloadAbility to resolve contractual issues and recommend business solutions to managementStrong organization skills with the ability to work in a fast-paced start-up environment while managing competing priorities CLEARANCE:Secret minimum
