Transaction Advisory Services Houlihan Lokey's Transaction Advisory Services (TAS) practice assists private equity and corporate clients with financial, IT and tax due diligence, business analytics and technical accounting matters associated with corporate mergers, divestitures and acquisitions (M&A). Drawing on Houlihan Lokey's market leadership in middle-market M&A transactions, our due diligence experts provide candid, unbiased, and rigorous support on matters most impacting deal value, and assist investors in identifying and evaluating key value drivers and risk factors. Job Purpose: We are excitingly growing our TAS practice focusing on Financials and Fintech at the Vice President level. This is a unique opportunity to join us as a foundational hire that will have a significant impact on growing our market share and team overall. Our team of diligence professionals is comprised of former Big Four CPAs and transaction accounting professionals with experience working across all our industry verticals. Drawing on Houlihan Lokey's market leadership in middle-market corporate finance transactions and competitive intelligence, our diligence team provides candid, unbiased, and rigorous support on the accounting and financial matters most impacting deal value. You will collaborate with a highly talented and dedicated group of M&A professionals, providing broad exposure to transactional issues affecting businesses within the M&A market today. We offer a unique opportunity to work in a variety of industries on an investment banking platform, providing exposure to the broader corporate finance industry and capital markets. You will develop and extend your financial and interpersonal skills as you perform M&A financial due diligence related to the purchase and sale of private and public companies. Responsibilities & Deliverables: * Lead buy-side and sell-side transaction advisory engagements * Drive discussions with senior client executives and target management * Manage team members (Analysts and Associates) on engagements * Cultivate and deepen relationships with key clients in addition to assisting MD with strategic pitching and business development initiatives * Review target company financial information and other data to identify: * historical and projected financial and operating and commercial trends * quality of earnings * working capital and net debt considerations, and * potential liabilities and risks which impact valuation and negotiation of the target company * Develop operational insights utilizing data & analytics in order analyze the drivers of profitability and evaluate key risks and opportunities of a company * Draft and review tailored transaction advisory reports specific to key issues such as normalized earnings, achievability of management's budget, operational insights, indebtedness considerations, and post-transaction working capital analysis * Review financial models including database systems * Develop professional network and relationships with firm, client and target professionals * Review transaction agreements, customer and supplier contracts and develop valuation considerations * Collaborate closely with corporate finance, valuation and financial restructuring colleagues Basic Qualifications: * COVID vaccination required, subject to applicable state and federal law * Undergraduate degree from an accredited institution * 6+ years of financial due diligence experience with a Big 4 firm (or a combination with audit experience, which must include at least 3 years of financial due diligence) * CPA Preferred Qualifications: * Highly motivated with an exceptional work ethic, and a demonstrated ability and desire to work cooperatively with team members and client professionals * Demonstrated professional achievement and client service excellence * Demonstrated understanding and application of capital markets and valuation concepts * Strong current knowledge of US Generally Accepted Accounting Principles including SEC reporting, purchase accounting and transaction related issues * Strong analytical abilities * Exceptional verbal and written communication skills * Strong command of Microsoft Word, Excel, and PowerPoint * Familiarity with Tableau, Alteryx and data analytics packages preferred (but not required) * Ability and desired willingness to travel We are an equal opportunity employer and all qualified applicants will receive consideration for employment without regard to race, color, religion, sex, national origin, disability, gender identity, sexual orientation, protected veteran status, or any other characteristic protected by law.
