Job Summary: Reporting to the VP and Group General Counsel of TEKsystems, Inc., the Associate General Counsel will support the full spectrum of legal services to TEKsystems Global Services, LLC ("TGS" or collectively "TEKsystems") with emphasis on technology services contracting and general business activities for TEKsystems' subsidiary, TGS. TEKsystems, a subsidiary of Allegis Group, provides IT solutions, IT services, IT consulting and IT staffing services supporting operating in North America and Europe. The Associate General Counsel will be responsible for supporting the TEKsystems' Finance and Business Development teams and primarily supporting TGS. This will include working with the business to draft, review and negotiate a variety of complex contracts involving information technology staffing and outsourced solutions, including master services agreements, statements of work, amendments, service level and service level credit amendments, channel partner agreements, vendor agreements, RFP responses and supporting documentation, developing and maintaining contract templates, developing business and legal processes, and implementing internal policies to help scale the business. The Associate General Counsel will be an integral part of the aforementioned teams and will be looked upon to provide thought leadership in specific legal and business-related areas associated with TGS. The ideal candidate will have a minimum of 5 years of legal knowledge/experience with experience structuring and negotiating complex transactions involving information technology agreements. The ideal candidate will have handled from inception through conclusion, IT outsourcing transactions, technology services agreements, licensing agreements and other technology-oriented agreements preferably from the vendor's standpoint, including negotiating and drafting the relevant documents associated with the transaction. The candidate will have the ability to identify potential trademark and patent opportunities for services and products associated with the business. Experience involving global data privacy; domestic and international operations; domestic employment law; and domestic and international tax law is a plus Responsibilities Essential Functions: Proposals/RFPs. Supporting the Finance and Business Development teams in the formulation of proposals or responses to RFPs for multi-million-dollar, multi-year contracts with Fortune 500 companies to provide solutions, best practice alternatives, and comments for managing risk. Contracts. Drafting, negotiating, reviewing and providing legal and strategic counsel and input with respect to the company's contracts with its commercial partners. Demonstrated ability negotiating, drafting and amending complex IT outsourcing, and other commercial contracts with strong problem-solving skills. Review of complex and custom contracts to ensure clauses, terms and conditions are compliant with quality, legal, government and other regulation requirements, or mitigate current or future risks. Train business personnel on contract provisions and form agreements, terms and conditions, and indemnifications. Interfacing with business personnel (non-lawyers) and clients to assist in preparation and negotiation of contract documents as well as providing guidance and practical solutions. Lead audits of the contract review processes. Contract Management. Supporting the creation and the use of best practices in contract management by developing, recommending, and communicating operating policies and procedural improvements. Corporate Generalist. Providing general corporate advice and counsel. Providing advice and guidance on corporate governance and corporate risk management issues. Developing the necessary skills to become a competent generalist, including those skills involving labor and employment related matters. Identifying performance metrics, establishing benchmarks and managing the implementation of same. Other Skills. In addition to the above competencies, the ideal candidate will be skilled in: Providing superb attention to detail and the ability to ramp-up quickly in new environments and teams. Adapting to conflicting ad hoc deadlines and priorities and deadline demands by controlling the daily management of multiple simultaneous contract initiation or renewal processes. Outstanding written and verbal communication Desire to partner closely with non-legal teams to collaborate to accomplish business goals Qualifications Minimum Education and/or Experience: Law degree from an accredited law school is required. Maryland Bar license is preferred. Minimum of 5 years of experience practicing law in a creative and fast-paced environment, preferably in-house at a technology company. Experience handling IT outsourcing transactions, preferably from the vendor's standpoint, including negotiating and drafting the relevant documents associated with the transaction from inception through conclusion. Experience involving information security matters, global data privacy; domestic and international operations; domestic employment law; and domestic and international tax law is a plus. Skills and Abilities: Ability to identify legal issues, anticipate potential legal issues, and propose solutions to complex situations raising difficult legal and operational concerns to nonlegal business partners Advising on and managing a broad spectrum of legal matters, preferably across the United States Handle complex contract negotiations and other corporate and tax matters. Ability to handle employment claims, employment and contract litigation, export controls and administrative claims. Solid business acumen, and the demonstrated ability to apply that business acumen to a myriad of legal and business issues in a fast-paced multifaceted organization. Ability to identify potential trademark and patent opportunities for services and products associated with the business. Anticipate industry changes and new developments and the impact on legal issues as well as business-related issues these changes and developments bring.
