Legal Director, Corporate Governance and Securities - Remote Thriveworks is looking for a Legal Director, Corporate Governance and Securities, to advise primarily on securities, equity compensation, finance, and corporate governance matters. You will be an important partner to many of Thriveworks' business functions, including Finance, HR, and Compensation, and interacting regularly with senior leadership, Board members and outside counsel. Your responsibilities will include: Developing, implementing and overseeing all corporate governance policies and corporate secretarial functions for a privately held company, including preparation of materials and minutes for primary and subsidiary boards, handling consents and ensuring compliance with policies and charter documents. Providing general support and advice to various business functions on corporate structure, subsidiary management and internal/affiliate transactions and restructurings. Proactively monitoring and analyzing changes in laws, regulations (both generally and in the behavioral healthcare industry) and advising appropriate organizational or process changes. Anticipating potential or future legal and operational issues that present a risk to the organization. Advising on investor relations and external communications matters, including reviewing press releases, investor presentations and communications, and other key marketing materials. Advising on ESG, corporate governance best practices, and general corporate law. Providing other legal support as deemed necessary and assigned regarding various in-house legal issues. Minimum qualifications Admitted to practice in good standing with at least one US state bar. 7+ years of experience in a recognized law firm and/or in-house legal department, preferably in a publicly traded company. Knowledge of healthcare law and working with management services organizations (MSO) preferred. Excellent communication skills, with a good sense of humor. Ability to develop creative, business friendly solutions to solve challenging issues in strategic deals, and to develop credibility and confidence as a trusted advisor. Thrive in a remote-only work environment as part of a team and independently. Ability to balance multiple tasks and priorities in a fast-paced environment. You should also have experience: Developing, implementing and maintaining procedures relating to securities law compliance and disclosure matters. Managing a disclosure controls programs, with responsibility for preparing and advising on securities law disclosure for annual, quarterly and other periodic reports. Preparing securities filings including proxy statements, S-8, Section 16 filings, ensuring compliance with all applicable securities laws and exchange requirements.
