Capital Markets Assistant General Counsel - Commercial Bank

The Role and the Team

The Capital One Legal Department is seeking an experienced attorney to provide support for its growing Commercial Bank business. The role will primarily support the Capital Markets legal team which includes mergers and acquisitions advisory, asset-backed securities (ABS) placements and ABS trading, high yield and IG debt and equity placements, derivatives, syndicated loan sales and trading, equity research, sales and trading and tax credit finance.

This role will include providing legal deal support on complex transactions, as well as managing outside counsel and trade organization representation. The initial focus of this role will be to support the mergers and acquisitions advisory businesses at Capital One, as well as other capital markets businesses as required.

The successful candidate must have strong legal and analysis skills, an ability to anticipate, discover and troubleshoot legal and business issues, and the flexibility to simultaneously manage a wide range of projects.

Basic Qualifications:
  • Juris Doctor and active member in good standing with at least one state bar
  • At least 6 years of law firm or in-house legal department experience relating to financial transactions or commercial banking


Preferred Qualifications:
  • At least 7+ years in-house experience at a large financial institution or at least 7+ years experience in a combination of in-house experience at a large financial institution and law firm experience
  • Experience working with mergers and acquisitions advisory transactions
  • Experience handling conflicts issues and information walls/barriers in a financial transaction setting
  • Experience representing sellers and buyers in mergers and acquisitions transactions
  • Strong analytical, oral and written communication skills, with the ability to influence others
  • Strong organizational skills with impeccable attention to detail
  • Ability to work in a fast-paced environment with minimal supervision
  • Ability to prioritize and manage a significant volume of work on a broad array of topics with multiple and simultaneous deadlines
  • Comfort tackling issues that may not have a clear answer
  • Curiosity; willing to learn and proactive in that regard
