Description Robert Half is currently recruiting for a SOX Compliance Director for a Hospitality/Service Industry client. The SOX Compliance Director assists the senior management in defining the control objectives and monitoring compliance efforts. The SOX Compliance Director will review test findings within the Internal/External Audit Team, facilitate the remediation of control gaps, and escalate possible critical issues to the senior management of the company. The SOX Compliance Manager identifies areas of potential improvement for key processes and procedures and supports the management of the related processes and procedures. He is responsible for working with different business owners on implementation, execution and compliance with entity level controls. The SOX Compliance Manager evaluates the review and analyzes data pertaining to information systems functions relative to Sarbanes-Oxley compliance.ESSENTIAL DUTIES AND RESPONSIBILITIES:. Lead and manage as a valued team member the development and implementation of internal controls for financial reporting as a public reporting company, including process narratives, control matrixes and testing. Assist with the drafting and filing of SEC and internal reporting. Work closely with auditing and advisory firms with related quarterly and annual reporting activities. Monitor SEC and Accounting developments and manage implementation of related reporting requirements. Work collaboratively with others within and outside the organization to improve internal controls, reduce costs, prevent loss, and ensure work is completed accurately and timely. Perform other duties related to financial reporting as needed. Assist in the Company's acquisition activities with a focus on financial reporting and accounting. Responsible for performing applicable due-diligence procedures. Assist with the purchase terms and contracts, implementing and finalizing, and executing the close of the transaction, preparing funds flow, and ensure all terms agreed to are included in the documents and properly accounted for. Perform post-acquisition procedures for integration, compliance with applicable commitments under the terms of the acquisition contract, post-closing true-up of working capital and other such adjustments, and recording of purchase price allocation. Assist with analyzing and researching new and proposed acquisition targets.
