Senior Counsel, Governance and Securities

The Governance & Securities team within Capital One's Office of the General Counsel and is a dynamic group of attorneys and legal professionals who provide counsel and support on securities, corporate governance, executive compensation, finance and other public disclosure matters. The Senior Counsel position is an important role within the organization that will advise Capital One's diversified businesses on a broad range of matters in a dynamic and stimulating environment.

Responsibilities:

You will be responsible for assisting with a broad range of matters including the following:
  • Drafting and reviewing a broad range of Securities and Exchange Act of 1934 filings, including 10-Ks, 10-Qs, and 8-Ks
  • Supporting and advising Capital One's SEC Reporting, Investor Relations, Executive Compensation and Equity Administration teams
  • Advising the Capital One's board of directors, its committees, and senior executives on all aspects of securities and public disclosures, corporate governance, and executive compensation
  • Planning and coordinating meetings and operations for Capital One's board of directors and its committees, including drafting meeting minutes, resolutions, and presentations
  • Managing the drafting and filing of the annual proxy statement, ensuring compliance with controls and procedures applicable to the proxy statement and related disclosures
  • Supporting the planning and execution of Capital One's annual meeting of stockholders (including the preparation of supporting documentation)
  • Managing compliance programs for Section 16 filings, insider trading and other matters related to equity administration
  • Identifying, analyzing and reporting on legal and market practice developments related to securities and corporate governance, including changes in laws, regulations and policies
  • Overseeing third-party management requirements relating to vendors engaged by the Governance & Securities group
  • Managing and coordinating outside counsel, when necessary


Basic Qualifications:
  • Juris Doctorate (J.D.) with admission to at least one state bar
  • 4+ years of law firm or at least 4+ years of in-house legal department work experience (or a combination of the two), with primary focus on securities law matters and public disclosures


Preferred Qualifications:
  • At least six (6) years of experience as an attorney in a major law firm and in-house legal or compliance department, with a focus on broad range of securities law matters, including compliance with Securities and Exchange Commission (SEC) and NYSE rules, Dodd-Frank Act and Sarbanes-Oxley Act, preparation and review of SEC filings, public disclosures and other matters relating to public disclosure, executive compensation, equity administration and corporate governance
  • Experience designing and implementing controls and procedures relating to SEC filings and/or public disclosures
  • The ability to manage and prioritize multiple projects, take on new responsibilities and handle novel issues with multiple and simultaneous deadlines
  • Ability to work in a fast-paced environment with minimal supervision
  • Excellent analytical, oral and written communication skills
  • Strong organizational skills with impeccable attention to detail
  • Ability and willingness to work as a team player, with comfort interacting with associates across departments and job levels
  • Ability to work cooperatively with internal constituents to manage efficient processes and to get issues resolved across organizational boundaries
  • Ability to rapidly synthesize new information and make timely, well-grounded decisions
