Primary Purpose

Located in the Czech Republic office, provides overall paralegal and/or contracts administration support to the Contracts and Legal Department, reporting to the Associate General Counsel (Biopharma), to primarily support the Biopharma division, and the Public Sector division as needed, including research review, document preparation, drafting and editing documents, and negotiations. Also provides support of the Company's legal matter management and support in information requests and legal compliance.

Responsibilities
  • Performs a variety of activities, which may include reviewing and proofreading documents, creating templates, researching laws, drafting and negotiating documents. Assists Company counsel, as needed to support different projects
  • Reviews biopharma and non-government contracts, task orders, non-disclosure agreements, and other documents, both domestic and international and negotiates terms and conditions
  • Reviews biopharma and non-government RFPs and advises management on risks and nonroutine obligations required
  • Advises management of contractual rights and obligations and provides interpretation of terms and conditions
  • Ensures timeliness of extensions and amendments to contractual documents
  • Works closely with multiple company departments, including Therapeutic Research Units, Business Development, Proposal Department, and Pricing Department, on matters affecting contractual documents
  • Other duties as assigned


Experience
  • Bachelor's degree in related area preferred, or equivalent experience
  • Typically requires a minimum of 2 years of related experience in contract administration in a CRO/Pharmaceutical/Biotechnology/Clinical Trials industry environment preferred. Paralegal certificate or other formal training, a plus
  • Understanding and experience working with contractual documentation in the United States and in global/international settings
  • Experience with Services Agreements, Master Agreements, Non-Disclosure Agreements, Teaming Agreements, Subcontracts, Consulting Agreements, contract awards, etc.
  • Knowledge of Contract Law and Data Privacy Law
