The Team

CAST (Corporate and Strategic Transactions) is a team within Capital One's Legal Department that is comprised of a dynamic group of legal professionals who support Capital One's transactional activity, including complex procurement and outsourcing contracts, mergers & acquisitions, strategic investments, line of business transactions and partnerships, and corporate real estate transactions. Attorneys and other legal professionals within CAST advise our diversified businesses on a broad range of business matters in a constantly changing and stimulating environment. In addition, through its bold initiatives, state of the art infrastructure, breadth of talent, and dynamic work environment, the Legal Department of Capital One has become one of the most highly admired corporate legal departments in the country.

The Role

The Principal Associate, Counsel is a new role on our team, and will be primarily responsible for managing enhanced risk issues escalated to Legal from our Enterprise Supplier Management (ESM) team, as well as supporting two (2) Director/Associate General Counsels in providing advice and counsel on a variety of complex procurement transactions.

The PA Counsel is a hybrid business counsel/transactions counsel role that will be responsible for the following:
  • managing (including drafting and negotiating) a wide range of commercial and procurement transactions that support Technology, Card, Retail and Commercial Bank, Auto Finance, Workplace Solutions, Brand, HR, Global Finance and other lines of business and functional groups
  • identifying Legal issues and risks in procurement and outsourcing contracts and working with a variety of Legal stakeholders to draft appropriate terms and conditions
  • serving as legal risk steward in forums in order to identify risks related to proposed transactions
  • understanding and advising on internal guidelines and procedures
  • building and maintaining strong relationships with ESM and Legal stakeholders
  • managing repeatable, controlled processes for transactional work


The Person

An ideal candidate will be an enthusiastic legal professional looking to immediately add value in a complex, highly regulated, and evolving environment, and will have: a demonstrated ability and willingness to work as a team player, interacting with associates across departments and job levels; the ability to work in a fast-paced environment with minimal supervision; strong organizational skills with great attention to detail; strong analytical, oral and written communication skills; and the ability to work cooperatively with internal constituents to create efficient processes and to get issues resolved across organizational boundaries. The ability to manage multiple issues/transactions and play an important supporting role in the context of larger transactions is central to this role.

Basic Qualifications
  • Juris Doctor from an accredited law school
  • Active member in good standing of at least one state bar with the ability to register as Corporate Counsel in Virginia
  • At least 1 year of combined experience as an attorney in a law firm or in-house counsel legal department with a focus on third party procurement, vendor or outsourcing transactions


Preferred Qualifications
  • 3 years of combined experience as an attorney in a law firm or in-house counsel legal department with a focus on third party procurement, vendor or outsourcing transactions
  • At least 2 years of experience providing advice and counsel on complex procurement transactions, including technology, brand and IP-related transactions
  • At least 2 years of experience in the financial services industry
  • Experience identifying issues related to privacy
  • Strong drafting and negotiation skills
  • The ability to identify and appropriately escalate issues
  • The ability to manage multiple transactions or matters, take on new responsibilities and handle novel issues
