We are seeking a highly motivated attorney to address overall legal needs across the company. As Corporate Counsel you will be the principle point of contact for contract review and negotiation and intellectual property matters. The candidate must thrive and adapt to a fast-paced, innovative and changing environment. Responsibilities . Work with internal clients and external partners and vendors to draft and negotiate contracts, licenses, and other legal agreements, including CDAs, MTAs, MSAs, SOWs, sponsored and non-sponsored research agreements, manufacturing agreements, clinical trial agreements, purchasing terms and conditions, supply agreements and various vendor services agreements . Assist in negotiating and drafting term sheets, collaboration, partnership, evaluation, licensing and other agreements . Conduct monitoring and auditing to ensure contract compliance . Advise internal clients on contract interpretation, dispute resolution and legal and business risk matters . Assist with due diligence reviews to support BD and financing activities . Identify patentable inventions through regular interactions with internal R&D project teams and collaborators, including evaluating inventions, conducting prior art searches, and generating and executing on corresponding patent protection strategies . Consult with internal clients as needed to provide instructions regarding patent prosecution . Manage outside counsel on patent preparation and prosecution matters . Maintain a global prosecution docket and identify strategies for US and foreign patent portfolios to strengthen and extend the company's intellectual property position . Perform FTO/patentability searches, analyses, and opinion work in support of internal clients . Monitor and analyze competitive intellectual property landscapes . Review proposed publications and presentations for potential impact on IP positions . Educate and advise colleagues on IP processes and issues . Provide general operational support, including business analysis Required education and experience . JD degree required plus an active license to practice law in any state . 5+ years of experience with a life sciences company Qualifications . Proven ability to draft and negotiate complex agreements and manage intellectual property portfolios . Excellent analytical, oral and written communication skills with the ability to exercise sound judgement when analyzing situations and processing information . Strong knowledge of contract and IP law . Outstanding project management and organizational skills and ability to multitask and perform in a fast-paced entrepreneurial and growing environment . Superior analytical skills to research, gather, and summarize complex and diverse information and to identify synergies to create value-added opportunities . Efficient solution-oriented skills and demonstrated proactivity . Solid interpersonal skills and ability to work in matrix team environment . Demonstrated understanding of the biotech/pharma industry and therapeutic product development .
